公司登记法律制度研究

【摘要】 公司制企业已经是当今国际市场经济体制运行中最为重要的企业形式了,它的蓬勃发展使得有关公司成立、运行以及终止过程中的每一个法律关系都备受瞩目。不断的有学者进行理论研究,也不断的通过新的立法技术对公司法律制度进行革新,这种法律活动反过来又更加促进了公司的发展与壮大。公司登记法律制度是公司法律制度中十分重要的一部分,它关涉公司的存与亡,关涉交易相对人的合法权益,关涉国家对公司信息的监管,更加直接关涉市场交易的安全秩序。然而,在我国专门对于公司登记法律制度的研究还不是很多,公司登记法律制度本身也存在很多问题。本文主要通过综合运用逻辑分析、历史分析以及比较分析等方法对公司登记的基本理念进行了分析和讨论,如公司登记法律制度的价值所在及功能定位。通过系统的研究法律效力指出公司登记法律制度中的效力规则的重要性,应当使用立法加以规范。最后综合前文的分析指出我国公司登记法律制度中存在哪些造成实践中的困惑与混乱的理论盲点和立法缺陷,从而针对问题进行解决,找到完善公司登记法律制度的关键。如：更新公司登记法律制度的基本理念；科学规范公司登记法律程序；完善效力和责任以及加强配套措施的规定等等。总之,笔者希望通过本文的探讨可以对于今后的公司登记法律制度的完善有所裨益。更多还原

【Abstract】 The corporate system enterprise now already has become the most important form of enterprise in the international market economic system’s movement, Its vigorously development causes each legal relationship in company’s establishment movement as well as the termination processes attracts much attention. Unceasing has the scholar to conduct the fundamental research, Also unceasing carries on the innovation through the new legislative technology to the company legal regime, and this kind of legal activity in turn even more promoted company’s development and the strength. The company registration’s legal regime is a very important part in the company legal regime, Its concern relation company’s saving and perishes, concern relation transaction relative person’s legitimate rights and interests, concern relation the country’s information supervision to companies, more direct concern relation market transaction security order. However, the company registers legal regime’s research in our country is not many specially, the company registers’legal regime itself also has many problems。This article mainly through the synthesis using methods and so on logic analysis, historical analysis as well as comparative analysis the basic idea which registered to the company has carried on the analysis and the discussion, like the company registers’legal regime’s value and the functional localization. Through the systemic research on legal effect, we pointed out that the company registers in legal regime’s potency rule importance, and emphasis that it must perform the standard with legislates. Finally the synthesis preamble’s analysis pointed out that which Our country Corporation does register in the legal regime to have to create, in the practice puzzled and the chaotic theory scotoma and the legislative flaw, thus carries on the solution in view of the question, found the consummation company to register legal regime’s key. Like to renew company registers legal regime’s basic idea; science standard company registers the legal proceeding; from the angle of the supplement potency and the responsibility stipulated consummates legislates as well as strengthens coordinated sets of measures consummation and so on.
