【摘要】 现代大型公司,特别是上市公司,一般通过公司章程将公司事务的管理权和业务执行权授予公司董事会,董事会承担着对经理层指导和监督的职责,因此公司董事会在公司治理结构中居于十分重要的地位。英美等国的股份公司大都设立由独立董事占多数的董事会委员会,旨在提高董事会的独立性、保障中小股东的权益、改善公司“内部人控制”、克服董事会自身存在的会议体缺陷和董事角色上的尴尬,其在提高董事会的工作质量和效率等方面存在独特价值。本文以英美、日本等国为例,对它们较为完善的董事会委员会制度进行了介绍和评析,并在汲取和借鉴他国立法经验的基础上,根据我国的具体国情,从改善我国的公司治理,充分发挥独立董事作用出发,在尊重公司的自治权、顺应各国公司治理的趋同化的前提下,就公司董事会委员会制度的立法模式、立法内容、设立董事会委员会的种类和如何处理董事会委员会与董事会、监事会关系等方面对董事会委员会制度提出了具体构想。更多还原

【Abstract】 Modern large companies, especially listed companies, generally award the company’s management and operational executive power to the Board through the company’s charter,and the Board bear the responsibilities of guidance and oversight over the managers.Therefore the Board plays a very important part in the corporate governance structure. Joint-stock companies in countries such as Britain and the United States mostly establish Board Committees with the majority of independent directors, in order to enhance the independence of the Board,protect the interests of small shareholders, improve the situation of "internal control",and overcome its own meeting defect of the Board and the embarrassment of the director role.It has a unique value in improving the quality and efficiency of the Board.Taking Britain、the United States、Japan and other countries as an example,through introducing and assessing their Board Committee system, and learning and drawing other countries’s legislative experience,in accordance with China’s specific conditions,from improving the corporate governance in China and giving full role to the independent directors,under the premise of respecting the corporate autonomy and conforming to the convergence of corporate governance in the world,this paper puts forward some specific ideas on the model legislation and the legislative content of the Board Committee system、the types of establishing of Board Committee、and how to deal with the relationship between the Board Committee system and the Board、the board of supervisors and so on.更多还原
