【摘要】 家族企业是出现最早的企业形式，也是当代企业群体中数量最为庞大、内部结构与关系最为复杂、规模差异最大的一种企业形态，呈现出多样化的发展模式。在我国，改革开放之后迅速崛起、已经表现出强大活力的民营企业，其中的大多数在形式上就是家族企业。这些家族企业不仅在我国当前的国民经济中发挥着重要作用，而且从长远的发展来看，也将是我国市场经济发展中不可忽视的重要企业群体，也关系着我国的社会发展与文化的进步。由于特定的历史和文化因素的影响，我国现代意义上的家族企业的发展历史短暂，规模不大，技术落后，“富不过三代”的现象表现得格外突出。家族企业由于其自身的特定条件，生存具有很多的困惑，壮大有着很多的“瓶颈”，发展面临众多的矛盾。现阶段，处于发展转折时期的家族企业，期待着理论上的探讨、解答和指导。本文在考察我国家族企业制度现状的基础上，结合我国的历史和文化特点，借鉴国外经验，探寻适宜我国家族企业制度变迁的新思路。从上述研究目的出发，本文运用比较分析和综合分析相结合、动态分析与静态分析相结合、微观分析与宏观分析相结合等方法，在具体分析我国家族企业制度的基础上，提出我国家族企业制度变迁的路径选择，并从产权制度、管理体制、治理结构、企业文化、政府作用等方面对我国家族企业制度变迁的具体实施策略进行探讨。第一章，文献综述。主要介绍了国内外专家学者关于制度变迁理论和家族企业理论的研究及我国学者对家族企业制度的评价。第二章，绪论。主要提出本文的选题依据和研究方法及结构安排。第三章，我国家族企业的产生、发展及现状。在回顾国内外学者对家族企业的定义，并界定本文家族企业概念的基础上，论述了我国家族企业的产生的合理性及发展现状。在分析家族企业现状的同时，指出家族企业制度存在的种种弊端。第四章，国外家族企业制度变迁及启示。在介绍美国、日本、意大利家族企业制度变迁的过程及影响因素、条件的基础上，得出对我国家族企业制度变迁的两点启示。第五章，我国家族企业制度变迁的路径选择及实施策略。首先指出了我国家族企业制度变迁的路径依赖性；而后给出了我国家族企业制度变迁的路径选择；最后从产权制度、管理体制、治理结构、企业文化、政府作用方面对我国家族企业制度变迁的实施方案进行了探讨。更多还原

【Abstract】 The family enterprises are the earliest form of the type. They are still a current enterprise form,which is the greatest in number, the most complicated in internal structure and relationship,and the most different in dimensions, and they take on various development patterns. Many nonpublic-run enterprises, which have rapidly developed since the reform and opening to the outside, have showed great vigor and strength, and they play a great role in the national economic development. On the long run, they will be indispensable parts in our market economy, and even affect the development of our society. In fact, most of them belong to family enterprises.Because of specific historical and cultural factors, modern family enterprises in China grew not long ago, most of them are rather small and technically backward. The phenomenon that "The richness will never last three generations"are quite common.Family enterprises are confronted with many embarrassments, barriers and contradictions at present,and they are eagerly hoping for theoretical guide.Based on the inspection the system of our family enterprises in light of China’s historical and cultural characteristics, learning from foreign experiences, the study trys to seek for the new route,which is suitable for the development of Chinese family enterprises. 7The study are carried out by the analytical methods of the combinations of dynamic and static, macroscopic and microscopic analyses. Based on the inspection the system of our family enterprises, the study proposed the choices of the family enterprise system vicissitudes paths and reform measures and recommendations form the viewpoints of the institution of property right, the institution of management, the governance structure of enterprise,the culture and the the function of the government.ChapterⅠ:Literature summary.Mainly introduced the system vicissitude theory of domestic and foreign experts and the appraisal of family enterprise system.ChapterⅡ:A brief intrduction.Proposed the basis of the study, the methods and the structure arrangement of the paper.ChapterⅢ: The production,development and present situation of Chinsese family enterprises.Based on the definition of the family enterprise of foreign scholars and the definition of the family enterprise of the study, the article elaborated the rationality ,the development and the present situation.Besides, pointed the malpractices of our country family enterprises.ChapterⅣ:Baced on the intruction of family enterprises system vicissitudes process and the influence factors of the US,Japan,and Italy,obtained two enlightenments.ChapterⅤ: First ,pointed out the way dependence of the family enterprises system vicissitudes and produced the choices of system vicissitudes;Finally discussed the implementation plan from the view of institution of property right, the management system, the government structure of enterprises, the enterprise culture and the function of the government.更多还原
