【摘要】 公司法人格否认制度是针对滥用公司独立人格和有限责任而设计的，在国外，该制度已比较成熟并取得了很多经验，但我国尚未确立公司法人格否认制度。本文从债权人和股东利益平衡的角度，根据我国公司法人格否认制度的现状，结合国外的成功经验，论述该制度在我国确立的必要性，并如何在我国确立该制度提出了建议。更多还原

【Abstract】 The system of disregard of corporate personality is aimed at abusing of corporate legal personality and limited ability. Such a system has been very maturate and experiential abroad but not set up in China. Based on the balance of creditor and shareholder, according to the current situation of the system of disregard of corporate personality, combining the successful experience abroad, this paper is trying to discuss the necessity of and how to set up such a system in our country.更多还原
