【摘要】 本文对公司治理结构的研究有一定的理论和实践意义，它为企业采取更为有效的治理方式和管理框架提供了理论上的支持和实践上的指引。随着人们对其研究的重视，公司治理结构的研究也得到了很大的发展，从最初的两权分离理论到委托代理理论，最后是现代的利害相关者理论，人们对公司治理结构的研究不断有所突破。由于我国企业历史的特殊性，对我国公司的治理结构的研究一定要立足于我国的现实情况和我国的特殊国情。我国公司治理中出现的问题很多，还很不规范，形成这种现状的原因也很复杂，要想短期得到规范化治理也很困难，在这种情况下，对我国公司治理结构的研究具有不一般的意义，从微观上讲可以为企业采取规范化的治理结构提供理论上的指导和依据，使我国公司的质量得到根本性的改善。从宏观上讲可以为我国资本市场打下坚实的基石，为我国资本市场的长久和持续规范化发展提供一种动力。鉴于此，本文的研究就是在借鉴了西方发达国家对此理论研究和现实情况的基础上，对我国公司治理结构进行了剖析，并针对我国的国情提出了造成这种现象的原因，在此基础上，有针对性地对我国公司的规范化治理进行了探讨。应该看到，随着我国企业改革的不断深入和加入WTO，我国公司治理结构也会得到不断的完善，但同时我们也必须承认，这将需要一个相当长的时间，不会在短时间内完成。更多还原

【Abstract】 The research on proper management structure of modem Chinese corporations undoubtedly has its significance theoretically and practically, which provides support for corporations to adopt most effective management frame. Along with people’s increasing concern about the research on corporation management structure, it has received rapid development. From the primary theory of powers separation to entrust-proxy theory and till the modem theory on interest related parties, the research on corporation management structure has continually got breakthrough.Due to the special historical characteristics, modern Chinese corporations must base themselves on realistic conditions and specific situation. It’s very difficult to standardize these Chinese corporations in a short time since these are many problems and operations against criterion and the causes for that are quite complicated as well. In that case, the research on corporation’s management structure is of special significance. Microcosmically speaking, it provides theoretical guidance the corporation to adopt standard management structure and thus thoroughly improve the quality of listed coronations; Macrocosmically speaking, it not only establishes solid bases but offers power for long, persist and standard development of China’s capital market.Whereas, the research bases itself on the theories and their realistic situations of developed countries, analyses the management structure of Chinese corporations and concludes the causes for that. Based on the analysis, the research pertinently probes into the standardization of Chinese corporation. It’s promising that the management structure of Chinese enterprises will get great improvement with the furthering reforms in China and its entry into WTO.
