【摘要】 本文共分五大部分，主要运用比较研究的方法、理论与现实分析方法和制度法学的方法，在全面分析独立董事制度产生背景及制度价值的基础上，在正视我国与国外作为独立董事制度基础差异和所要解决的问题不同的前提下，提出完善我国独立董事制度的有关对策。第一部分 独立董事制度的价值分析。概述了独立董事制度的含义和产生，并对其产生原因进行了客观详实的分析。通过正反两方面的不同评价，全面分析了独立董事的制度价值。肯定了该项制度的确有符合现代公司发展规律要求的内容，值得学习和借鉴，提出了要努力构建具有中国特色的符合我国公司治理现状的独立董事制度的主题。第二部分 我国确立独立董事制度的必要性。主要从二个大的方面进行论证。一是从现实实践效果来论证。既肯定了实践中的积极效果，又指出了实践中由于已有制度的不完备其作用还未充分发挥。二是从我国公司治理特点出发，在理论上研究论证了独立董事制度在我国确立的必要性。第三部分 我国独立董事制度与监事会制度的关系界定。我国公司治理结构中，监事会是常设的监督机构，而独立董事也是要履行监督职能。本部分主要分析了独立董事制度与监事会制度的不同性质和特点，研究了两种制度的不同功能定位及其相互关系。第四部分 我国独立董事制度存在的问题。从全面总结我国独立董事制度的现状入手，详尽分析我国独立董事制度存在的问题。如果上述问题得不到有效解决，将会影响独立董事制度功能的正常发挥。第五部分 进一步完善我国独立董事制度的对策。在第四部分论述的基础<WP=4>上，提出为保障独立董事制度作用的充分发挥需要采取的措施和办法。更多还原

【Abstract】 This essay is composed of five parts. It mainly uses the following three methods namely: comparable analysis, theoretical and practical analysis and law of institutional analysis method to analyze the background of the development of independent director system and its value. At the same time, taking into consideration of the different conditions and problems as compared with that of the foreign countries, this paper will put forward some countermeasures to improve the independent director system of China.Analysis on the value of independent director system. First of all, this paper will elaborate a little bit on the definition of the independent director system and its history. An objective and detail study will be made in analyzing the reasons of the establishment of the system. Through two different angels of evaluations, a full coverage of analysis has been made in the importance of the independent director system. The paper has confirmed that the independent director system is in accordance with<WP=6>I. the law of development of the modern corporation system; we can use it as reference and learn from the experience. Therefore, it has raised the theme on constructing an independent director system that can cope with the existing corporation system with Chinese characteristics.II. The necessity of establishing the independent director system of China. The focuses are mainly in the following two aspects to demonstrate the essence. First, from the perspective of current practice, the paper discusses the significant achievements in the practice, however, at the same time, it has pointed out that there are incompleteness existed in the current system, the role of the independent system has not been fully used. Second, from the perspective of the features of the management of Chinese corporations, the paper has illustrates the necessity of setting up the independent director system through theoretical analysis.How to define the relationship of independent director system and the supervision committee. In the structure of corporation management of China, the supervision committee is the regular supervision agency, however, the<WP=7>III. independent director also carries out the function of supervision. In this part of the paper, it has pointed out the different natures and characteristics of the two systems and studied their different functions and relationships.IV. Problems encountered in the independent director system of China. Basing on the general situation of independent director system of China, this part has made detailed analysis on the existing problems. If the problems mentioned in this part could not be solved properly, they will influence the implementation of the independent director system.V. Countermeasures of improving the independent director system of China. Basing on the findings from the fourth part of this essay, the author proposes some of the related measures to guarantee the full play of the independent director system.更多还原
