【摘要】 我国社会主义市场经济改革的核心是深化国有企业改革，进一步解放和发展生产力。建立现代企业制度是国有企业改革的目的。在国有企业改制中，必然会涉及到土地资产的处置。而在目前进行的土地资产处置具体实践中，暴露出较多的问题。如何正确处理这些问题，对于现代企业制度的建立和土地使用制度改革的深入息息相关。 本文就是在这种情况下，根据时代的需要，对国有企业改制中土地资产处置作了系统的研究。在理论为指导实践服务的这一原则下，本文首先对土地资产处置所密切相关的土地资产、土地产权、地租、土地价格、股份制等理论进行了阐述。随后，分析了国有企业改制与土地使用制度的关系和国有企业改制中土地资产处置的必要性，提出了国有企业改制中土地资产处置的原则。传统的土地使用制度弊端明显，土地资产处置方式是土地使用制度的重要内容，是土地资产处置的关键。因此，本文对土地资产处置的基本方式进行了深入的研究，分析了处置方式的优劣和适应范围，对处置方式中的不足和缺陷在一定程度进行了完善，并结合实际对比分析了几种处置方式。在前面论述的基础上，本文分析了江苏省国有企业改制中土地资产处置的基本情况，并对国有企业改制中土地资产处置在具体实践中出现的问题进行了较系统的研究和探讨，试图提出完善国有企业改制中土地资产处置的对策与建议。更多还原

【Abstract】 The core of the reform of my country socialist market economy is to deepen state-owned enterprises reform and make further in liberating and developing productive forces. Establishing modem enterprises system is the purpose of state-owned enterprises reform. In state-owned enterprises reform, it is necessary to involve the disposition of land assets. But now at the concrete practice of land assets disposition, the more problems are exposed. How to deal with these problems correctly is closely linked with setting up modem enterprises system and reforming land use system.According to the need of the times, the paper makes a systematic study in the disposing the land assets in the process of state-owned enterprises reform at the severe environment. By the principle of the theory guiding practice, the paper first expounds the closed theory of land assets disposition about land assets, land property rights, land rent, land price, stock system. Then the paper analyzes the relation between state-owned enterprises reform and land use system reform, the necessity of disposing land assets, puts forward the principle of land assets disposition in the process of state-owned enterprises reform. The malpractice of traditional land use system is evident and the patterns of land assets disposition are the important content of land use system and the key of land assets disposition. So the paper makes a deep study in the basic patterns, analyzes the merit, drawback, accommodation of the patterns of disposition, perfect the insufficient and defect in some degree, make a comparative analysis on the patterns of disposition. On the above discussion, the paper analyzes the basic condition about land assets disposition in the process of state-owned enterprises reform in jiangsu, studies and inquiries into the problems more systematically, tries to put forward the countermeasures and suggestions of perfecting land assets disposition in the process of state-owned enterprises reform.更多还原
