公司经理的权利、义务与法律责任

【摘要】 随着公司经理地位的不断提升,公司经理权的膨胀已经严重侵害到公司和股东的利益。应完善公司经理权制度,使其既能满足公司经营管理的需要,又能防止被不法滥用所产生的危害。明确公司经理的法律地位、权利、义务和责任,规范和约束公司经理行为。公司经理是指执行董事会决策处于公司最高层的日常经营管理人员,是公司的代理人,公司董事会决议执行人。我国上市公司股权结构决定了我国上市公司经理的特点。人力资本理论和契约理论又对经理法律地位的认定有了不同的结论,公司经理的权力不断扩张,超出了代理人的权限范围,需要厘清。经理权包括对内管理权和对外代表权。法律对代表行为效力进行了规定。经理的内部管理权主要在于公司的授权,明确经理与董事的职权范围有利于控制经理的权力膨胀。公司经理的义务体系包括守法经营义务、忠实义务、注意义务。经理的义务标准与董事义务标准存在区别。经理承担了更高义务标准,其主观过错以一般过失为标准,而董事的过错以重大过失为标准。商业判断规则为我们考察经理义务履行情况提供依据。经理违反义务就应当承担相应的法律责任。经理承担责任的构成要件包括:(1)主体是公司经理(2)主观方面是主观上有过错以一般过失为标准(3)经理的行为与损害之间有法律上的因果关系(4)存在损害结果。我国公司法对公司经理法律责任的规定存在不完善之处,立法应加强经理对公司的民事责任,同时应建立经理对第三人的民事责任制度。

【Abstract】 The expansion of agency manager power, along with its rising status, has already infringed on the benefits of companies and their shareholders. We should not only perfect the agency manager power system so it can meet the needs of corporate management and prevent harm caused by illegal abuse, but also identify the agency manager’s legal status, rights, obligations and responsibilities, and regulations constraining the company manager’s behavior.The term, agency manager, refers to the proxy of the executive board who implements the decisions of the board and stands on the top of the management layer. In China, the characteristics of the agency manager in listed companies are determined by the equity structure. The theories of human capital and contract have made diverse conclusions about the affirmation of its legal status. Their expanding power goes beyond the limits of authority and needs to be clarified, including internal management and external representation. The effectiveness of the representative behavior has been regulated by law. Internal power lies mainly in authorization and making a clear distinction between managers and directors, in terms of reference, can curb the expansion of power. The obligation system of the agency manager consists of lawful operation, loyalty and attention. The difference of the standards of duties between managers and directors is that the former faces a higher standard, as they are responsible for generic negligence and subjective faults, whereas the latter’s obligations are based on culpable negligence. Business judgment rules underlie the inspection of the performing state of managers’obligations. The manager who violates duty shall bear the corresponding legal responsibility. The manager responsibility components include:(1) the agency manager has responsibility to the company (2) subjective aspect is a fault in general subjective negligence (3) Behavior and damage have causal relationship in law (4) damage results due to the actions of the agency manager. The related provisions are not perfect in terms of the liabilities for directing managers. The civil liabilities for the managers shall be reinforced. At the same time, the system regarding the civil liability for third parties shall be set up.
