企业并购中的人力资源整合研究

【摘要】 企业并购作为社会化大生产、规模经济发展、产业结构调整和资本集聚的必然产物,是西方经济学一个古老的研究课题。19世纪末以来,西方国家已经经历了五次大规模的并购浪潮。中国改革开放以来的企业并购始于1984年,现正处于方兴未艾的高潮初起阶段,但是国内关于企业并购的研究尚处在起步阶段,关于企业并购中的人力资源整合研究则更显薄弱。 企业并购即并购企业各种资源要素的整合过程,其中人力资源整合是最为重要的第一资源要素整合。无数实践证明:有效的人力资源整合并不保证企业并购的必然成功,但无效的人力资源整合必然导致并购失败。因此深入研究企业并购中的人力资源整合问题,不仅对企业并购具有重要的现实指导意义,而且也将有助于推动人力资源管理和企业并购研究领域的理论创新。 一、总体结构 本文主要通过相关理论成果的梳理和实践经验的总结提炼,探索性地提出一个比较具有普适性和分类指导意义的企业并购中的人力资源整合范式。全文除第一章绪论和第十章结论以外,可以分为四个部分: 第一部分为背景研究,包括第二章和第三章。第二章简要介绍并购的一些基本概念,回顾了国际企业并购的历史,分析了国际企业并购的成因及其特点;第三章则研究了中国企业并购的历史发展过程及对就业的影响。 第二部分即第四章,主要研究企业并购中的人力资源整合框架和模型。在该章中提出了人力资源整合视角下的企业并购分类以及人力资源管理整合模型和方程式,并详细分析了人力资源整合的内容三层面、过程三阶段和整合路径。 第三部分是论文的核心部分,包括第五章、第六章、第七章和第八章。分别探讨了企业文化整合问题,明确提出了“身份管理”的概念;研究了管理技术整合问

【Abstract】 As an essential product of socialized mass production, development of scale economy, industrial restructuring and capital aggregation, enterprise merger & acquisition is an old research topic of Western economics. Since the end of the 19th century, the Western countries have experienced five large-scale merger & acquisition waves. Enterprise merger & acquisition since China’s reform and opening to the outside world began in 1984, and is currently at its first climax in the ascendant, but domestic research about enterprise merger & acquisition is still in the starting phase, and the research of human resources integration during enterprise merger & acquisition is especially weak.Enterprise merger & acquisition is the integration process of various resource elements of the merger & acquisition enterprise, among which the integration of human resources is the most important integration of the No. 1 resource element. Numerous practices have proven that: effective integration of human resources cannot ensure the success of enterprise merger & acquisition, but ineffective integration of human resources will certainly lead to failure of merger & acquisition. Therefore a deepened research of human resource integration issue during enterprise merger & acquisition will not only be practically instructive to the enterprise merger & acquisition, but also will help to promote the theoretical innovation in the field of human resources management and enterprise merger & acquisition research.1.
