基于价值链的物流企业并购重组研究

【摘要】 现代物流业是融合运输业、仓储业、货代业和信息业等的复合型服务产业,是国民经济的重要组成部分。高度发达的现代物流业,是实现新型工业化和信息化的重要条件,是促进产业结构调整和加快经济发展方式转变的重要力量,更是衡量一个国家或地区综合国际竞争力的重要标准。当前,全球第五次并购浪潮正在席卷世界,并购重组正在成为推动经济全球化的一股重要力量,更是提升现代企业核心竞争力的重要途径。作为发展中国家的中国,应该牢牢地抓紧和利用好全球并购重组的重大战略机遇,加快促进我国现代物流业的调整和振兴,为实现经济社会又好又快发展奠定起坚实的基础。因此,从价值链管理的角度,研究如何加快现代物流业并购重组和提升物流企业核心竞争力,对加快经济发展方式转变有着重要的理论价值和现实意义。本文首先从价值链管理、企业并购重组等有关理论研究出发,分别对国内外价值链和并购重组理论研究现状作了简要述评,重点讨论了价值链管理的内涵与机理、企业并购重组的主要动因、基本模式以及整合策略等,初步探讨了价值链、并购重组之间的内在联系,从而为现代物流企业并购重组研究做好了理论铺垫。其次,全面阐述了目前加快我国物流企业并购重组的现实基础和相关条件。一方面,并购重组是当前国内外物流业发展的必然趋势和主要特征,另一方面,我国新型工业化和城镇化的加速推进也给物流企业并购重组带来了巨大的市场需求和基础条件。再次,结合中外运长航集团并购重组的典型案例,重点研究了价值链管理视角下物流企业并购重组的方法与策略。主要包括以物流业独特的价值链为基础,研究分析了不同价值链条件下物流企业并购重组的目标选择、模式选择和整合选择等重大问题,尤其是对物流企业并购重组后的价值链节点整合做了具体研究。最后,探讨了加快现代物流企业并购重组的对策建议,重点包括完善产权和并购等一系列法律法规体系、出台支持物流业发展的财税金融政策以及加快发展信息、咨询以及其他中介服务等内容。本文在吸收借鉴国内外学术界理论成果基础上,通过研究最后得出结论认为进一步加强物流企业理论研究的重点应该放在提升企业竞争力的思路与对策上来,特别是如何更好地提升物流企业的核心竞争力;结合后金融危机时代特征和第五次全球并购浪潮,本文认为物流企业的并购重组是提升核心竞争力的重要途径;物流企业区别于其他企业的一个重要特征就在于物流企业拥有一条独特的价值链,因此并购重组的战略目标和并购模式都应遵循物流企业的价值链,从而来提高并购重组成功率,缩短并购重组后各种资源整合的难度和期限,从根本上来打造物流企业的核心竞争力,以此推动整个物流产业良性发展,并通过物流业来带动其他产业结构优化升级和整个国民经济又好又快发展。更多还原

【Abstract】 Modern logistics industry is a compound service industry. It is the integration of transport, warehousing, freight forwarding industry and information industry which is an important part of the national economy. Highly developed modern logistics industry are the important conditions to achieve new industrialization and information is to promote industrial restructuring and the changing way of speeding up economic development in an important force, it is comprehensive measure of a country or region an important criterion for international competitiveness.At present, the fifth global M & A wave is sweeping the whole world, M & A to promote economic globalization is becoming an important force,but also enhance the core competitiveness of modern enterprises an important way. As a developing country, China should firmly grasp and make good use of global M & A major strategic opportunity to accelerate the promotion of China’s modern logistics industry restructuring and revitalization, to achieve sound and fast economic and social development has laid a solid foundation. Therefore, value chain management from the perspective of how to accelerate the acquisition of modern logistics industry restructuring and upgrading of the logistics enterprise’s core competitiveness, accelerate the transformation of the mode of economic development has important theoretical and practical significance.Firstly,from the value chain management, corporate mergers and acquisitions and core competitiveness of the theory of starting value chain at home and abroad, respectively, and M & A Review of Current Theories of brief, focused on value chain management, content and mechanism of M & A main drivers of the reorganization, the basic model and integration strategies, discussed the value chain, M & A and the core competitiveness of the intrinsic link between the order for the modern logistics M & A research has been theoretical groundwork.Second, a comprehensive exposition of the current mergers and acquisitions to speed up the restructuring of logistics and related conditions based on reality. On the one hand, M & A is the current domestic and international logistics industry development trend and major characteristics, on the other hand, China’s industrialization and urbanization accelerate merger and reorganization of the logistics industry is also to bring a huge market demand and basic conditions.Thirldly, combined with Sinotrans CSC Group merger and reorganization of the typical case, focus on value chain management, logistics M & A Perspective of the methods and strategies. Mainly to the logistics industry based on the unique value chain, value chain analysis of the different conditions Logistics M & A target selection, mode selection and integration of major issues of choice, especially for logistics companies after M & A value chain integration node done a specific study.Finally ,the speed of modern logistics M & A with emphasis on improved property and mergers and acquisitions and a series of laws and regulations, promulgated to support the development of the logistics industry, financial policies, and accelerate the development of tax information, consulting and other intermediary services, and so on.This article and borrowing in the domestic and international academic research, based on the final through research concluded that further strengthening the logistics business of research, the research should focus on ideas to enhance the competitiveness of enterprises up with countermeasures, in particular how to better promote the core competitiveness of the logistics enterprises; combined features of the global financial crisis of the times and the fifth wave of global mergers and acquisitions, this article that the logistics of the merger and reorganization is to enhance the core competitiveness of an important way; Logistics different from other companies is an important characteristic is that the logistics company has a unique value chain, so the strategic objectives and M & A model should follow the logistics value chain, thereby to improve the success rate of mergers and acquisitions, M & A shortened integration of various resources, after the difficulty and duration, fundamentally logistics enterprises to build up core competitiveness, in order to promote the healthy development of the logistics industry, and through the logistics industry to promote industrial upgrading, and other good and fast the whole national economy development.更多还原
