企业并购过程中劳动关系的政府干预机制研究

【摘要】 随着贸易全球化以及中国经济的迅速发展,跨国以及国内企业之间的并购案例数量呈快速上升趋势。并购作为获得外部竞争优势和有效配置社会资源的重要渠道之一,使企业可以快速扩张、降低进入和退出市场壁垒,提高资源配置效率、提升自身竞争力。企业并购不仅是资产和债务的转让与重组,也是所有权、经营权的变动,还有劳动关系的变化。很多企业在并购时过多的追求企业经济效益最大化而忽视劳动关系的重要性,使得劳动者权益保障受到严重威胁,由此引发的劳动争议和群体性纠纷乃至冲突的比重急速上升,这也成为并购成败的关键因素之一。政府在劳动关系中发挥着重要的作用,对于并购过程中的劳动关系进行适度干预,一方面维护保障劳动者的权益,另一方面充分考虑企业的自主经营管理权,从而构建稳定和谐的劳动关系,实现和谐社会的历史重任。笔者结合劳动人事法律法规以及实际案例,探析政府在企业并购过程中对劳动关系的干预机制,进一步了解目前具体操作和实践中的不足之处,并对今后的机制完善提出对策。更多还原

【Abstract】 With trade globalization and fast growth of China economy, the amount of Mergers and Acquisitions cases between international enterprise and domestic corporations shows the rising tendency in several past years. As one of the most important channels for corporations to attain external competition advantage and allocate social resources effectively, M&A could help company expand rapidly , recede the market, barriers for entrance and quit, enhance resource allocation efficiency and improve competency itself.M&A is not only the reform and transfer of assets and debts, but the transformation of proprietorship and managerial authority, as well as labor relation. Lots of companies over pursue its economic performance maximization and ignore towards the importance of labor relation, which affected the rights and interests of employees. The disputes on labor relation and groups’ conflicts had increased quickly in recent years, and which turned to be one of key factors to identify the success of a M&A.Government plays a key role in the labor relation management, and implements the intervention mechanism to protect the rights of employees while considering the corporations’ managerial authority, in order to build a smoothly and harmonious labor relationship and achieve a historical task for building a harmonious society. Combining with the relative labor laws and practical cases, the writer analyzes the government’ s intervention mechanism on labor relationship in the period of M&A, points out the problems of practical operation and further proposes some advice on government’ s intervention mechanism.更多还原
