【摘要】 改革开放以来,鼓励各种经济形式发展,积极引进外商投资,促进跨国公司发展是我国的主要政策之一。当今全球化经济席卷世界的每一个角落,这就给我们带来了经济上的共荣共生,使我们必须要用全新的眼光看问题,与此同时,伴随着外资的不断进入,也使我国经济不断的受到外国资本的冲击,由此产生的经济安全问题值得关注。本文共分为五个部分：第一章为绪论部分。介绍了本论题的选题背景,国内外研究现状以及研究方法和路线。第二章提出了相关的概念,属于理论分析部分。对外资并购方面理论和国家经济安全方面理论加以阐释。第三章在分析了相关的理论概念后,提出了外资并购的新特点和趋势,并就外资并购以何种方式对我国经济安全施以影响加以分析。并就一些外资能够渗透的领域,如产业领域、技术领域、金融等领域的安全受到的影响进行了分析。第四章介绍了美国、韩国及部分发展中国家对外资并购的监管经验,以求能对我国的监管提供宝贵经验。第五章在综合上述前四章的基础上提出了预防外资并购对我国经济安全影响的对策,首先指出了我国经济安全领域存在的一些问题,在具体防范措施上提出了具有针对性的建议。更多还原

【Abstract】 Since the reform and opening, the economic development of various forms and encourage foreign investment, introducing actively promoting multinational companies in China is developing the main policy. Economic globalization swept every corner of the world, which brings us to the economic co-prosperity coexistence, that we must use new eyes, meanwhile, accompanied by foreign capital into China, and continuously by foreign capital of economy, the economic security problems worthy of attention.This is divided into five parts:The first chapter for the introduction section. This thesis introduces the background, research status and research methods and routes.The second chapter puts forward relevant concepts, belongs to the theoretical analysis. Ghost m&a in theory and the theory of national economic security to explain.The third chapter in the related theoretical concept analysis, the article puts forward the new characteristics of foreign-capital m&a and trends, and in what ways m&a on China’s economic security impose influence analysis.
