安源实业股份公司资产重组案例研究

【摘要】 随着我国经济的快速发展,企业改革的进一步推进,国有企业以资产为纽带,资产重组、并购整合已成为我国经济发展中最绚丽的一道风景线。资产重组包括企业联合、收购、兼并、破产等企业行为,其作为盘活企业存量资产,调整经济结构,合理配置企业资源的有效工具,在我国社会主义市场化的过程中,正日益得到广泛的应用。安源股份的资产重组是具有典型意义的一个案例。本文以安源股份资产重组的动因为研究目的,通过借鉴资产重组理论,采用实证分析法进行研究,其内容分为五章节:第一章节导论部分对选题背景、目的和意义作了简要的概述。第二章节是国内外资产重组理论及情况,首先是回顾国际并购情况,然后是介绍并购的分类、方式以及我国现今并购活动的状况及动因。第三章节是案例分析,主要对安源股份资产重组后产权、经营、财务、价值、绩效分析。第四章节是对安源股份资产重组后发展思路分析。第五章节是对全文进行了简要的总结。安源股份资产重组是一个包含了资产置换、股权转让、收购重组、设立新公司等综合性的实质性资产重组,资产重组后获得了一定的效果,参与本资产重组的各方各有所获表明了实质性重组能够给重组各方带来实在的利益,因此,我国证券市场应推崇公司实质性资产重组。同时,政府在本案例资产重组中发挥了巨大的作用,企业应充分利用和发挥政府在资产重组中的资源和政策作用,实现企业的可持续性发展。更多还原
