【摘要】 民营企业是世界上最具有活力的企业组织形态,在世界的经济发展中起着举足轻重的作用。在过去的三十年里,中国经济飞速增长,同时也经历了根本性的变化,从完全依赖于国有企业转向混合经济,民营企业在其中发挥着重要的作用,民营经济已经成为中国经济新的增长点、活力源、生力军。民营经济作为我国国民经济的重要组成部分,数量的不断增多、规模的不断扩大、创新能力的不断增强、经济和社会效益的不断提高,在解决就业、增加税收、缩小贫富差距、促进社会和谐等方面发挥着日益重要的作用。促进民营企业的健康发展,对我国的经济来说有着非常重要的现实意义。本篇文章主要研究我国民营企业生命周期与公司治理的关系,基于产权理论、分权制衡理论、委托代理理论、企业生命周期理论,详细分析民营企业生命周期的各个阶段的特点,并相应地对民营企业处于企业生命周期的各个阶段的法人治理结构提出建议。本文还通过对两个有限责任制的民营企业的法人治理结构进行对比分析研究,以通过理论和实践的研究为我国民营企业的公司治理提出一些有参考性的意见。正文包括:引言、理论综述、基于企业生命周期的法人治理结构的研究分析、民营企业治理结构与生命周期的经典案例分析、完善我国民营企业法人治理结构的对策、结论等共六章。更多还原

【Abstract】 Private enterprise is the world’s most dynamic form of enterprise organization in the world of economic development plays a vital role in this. In the past three decades, the rapid growth of China’s economy, but also has gone through fundamental changes, from the totally dependent on state-owned enterprises will be shifted to the mixed economy, private enterprises play an important role, the private economy has become China’s new growth, dynamic source of reinforcements. China’s private economy as an important part of the national economy, the number continued to grow, the expansion, innovation capacity significantly increased, and improved economic and social benefits, in the settlement of employment, increase tax revenue to narrow the gap between rich and poor, and promote social harmony playing an increasingly important role. To promote the healthy development of private enterprises of China’s economy has a very important practical significance.This article studies the life cycle of China’s private enterprises and the relationship between corporate governance, based on the property rights theory, the principal-agent theory, corporate life cycle theory, private enterprises in enterprises at all stages of the life cycle of the corporate governance structure.
