【摘要】 商业银行参与公司治理是市场经济发展的客观要求,对于完善公司治理结构具有重要的意义。我国商业银行对于公司治理也有一定的参与,但是以消极参与为主,在实践中存在着一些问题。在迎接经济全球化的今天,构建新型银企关系,加大商业银行参与公司治理力度具有很大的现实意义。本文就是希望通过深入分析商业银行参与公司治理的相关法律问题,在借鉴国外成功经验的基础上,结合我国具体国情,探索出一条适合我们国家的银行参与公司治理的法律途径。本文首先从三个方面为商业银行参与公司治理构建了理论依据,表明其参与公司治理具有深刻的法理基础。要解决本国的实际问题,研究其他国家相关的经验是必需的。为此本文考察了国外银行参与公司治理的法律实践,通过对不同参与模式的比较分析,得出了对我国商业银行参与公司治理模式的一些启示。接着文章介绍了我国银企关系的历史发展,并对我国商业银行参与公司治理的现有方式进行了分析,指出了存在的问题。文章最后对我国商业银行参与公司治理法律制度的具体构建进行了探讨。即在目前的条件下,商业银行可作为公司主要债权人,先以“内部监控”模式参与公司治理;在各项改革到位之后,商业银行通过持有公司股份,再以公司股东和债权人的双重身份以“共同治理”模式参与公司治理。同时,还要通过相关法律、法规的修改与完善,为商业银行参与公司治理创造相应的制度与法律环境。更多还原

【Abstract】 Commercial bank participates in corporate governance is the objective requirement that market economy develops, it is of important significance for improving corporate governance structure. Chinese commercial bank also participates in corporate governance to some extent, however, it is mainly passive participation and still exist some problems in practice. As the trend of economic globalization getting more current today, it is of great point to construct new bank-enterprise relationship and strengthen the dynamics of commercial bank participates in corporate governance. This article hopes that thorough analyzing the legal problem that commercial bank participates in corporate governance, on the basis of foreign successful experience, combine the realistic situation of our country, explores an suitable legal way for our country’s commercial bank participates in corporate governance. This article has proved the theory basis of commercial bank participates in corporate governance from the three aspects at first, indicated its participation in corporate governance has deep legal principle basis. To solve the actual problem of our country, it is essential to study other countries’ relevant experience. This article investigates the legal practice of the foreign bank participates in corporate governance for this text, through the comparative analysis of different participation model, have obtained some enlightenment to the participation model of our country ’s commercial bank participates in corporate governance. Then the article introduced the historical development of the relation between banks and corporate of our country, and analyzed the existing way that the commercial bank participates in corporate governance of our country, has pointed out the existing problem. The article finally discussed the concrete construction of the legal system of our country’s commercial bank participates in corporate governance. At the moment, there are two stages we may follow. The first stage is that as the main creditor of the corporate, the commercial bank may participate in corporate governance in the "internal surveillance model". After accomplishment of various kinds of reform measures, we can reach the second stage, which is "co-governance model". Specifically speaking, the commercial bank by holding the corporate’s share to participate in corporate governance in name of the corporate’s shareholder and creditor.
