【摘要】 近年来,苏州两级法院受理的公司纠纷案件呈逐年递增的趋势,其中股权转让纠纷占有相当的比例。现行公司法对股权转让作出了较为详细的制度安排,但在实务层面上仍有进一步细化的空间。笔者在搜集2005年至2007年间苏州两级法院作出的已生效的公司纠纷案件裁判文书的基础上,对案例中所涉及的股权转让问题进行了类型化研究。笔者从中发现,股权转让问题较为集中在以下三点:一是股权转让限制的正确尺度,包括股权对外转让的法定限制的应有尺度以及股东对股权转让所作意定限制的合理尺度:二是股权转让的正当程序,包括股东同意程序的实施、股东优先购买权的行使以及股权转让的完成标志;三是特殊形式的股权转让的特别要求,包括强制执行导致的股权转让、国有股权转让、股权继承以及离婚股权分割这四种最为常见的特殊形式的股权转让在转让程序以及转让限制上的特别要求。笔者从实务角度出发对上述股权转让问题进行了较为系统的研究,不求其精深,但求能为从事公司审判的法官处理此类问题提供一条切实有效的思维路径。更多还原

【Abstract】 Recently, there is a trend that cases of company disputes heard by Soochow two-level courts have been increased year after year, among which the dispute of shares transfer accounts for considerable proportion. Although the current Company Law has made a relatively detailed institutional arrangement on shares transfer, there are some shortcomings for further improvement on practice level. Based on the collection of effective judgements relevant to company disputes decided by Soochow two-level courts from 2005 to 2007, the author makes an analysis on types of shares transfer issues of aforementioned cases. The author found that issues of shares transfer relatively concentrate on following three aspects: firstly, correct scale to the restriction of shares transfer, including the due scale of legal restriction to the external shares transfer and the reasonable scale of conciliative restriction of shareholders to shares transfer; secondly, the correct procedure to shares transfer, including the implementation of consent procedure by shareholders, the execution of preemptive right of shareholders and the completion sign of shares transfer; thirdly, special requirements for particular forms of shares transfer, including special requirements on procedures and restrictions of four commonest particular forms shares transfer, namely, the shares transfer resulted from compulsory enforcement, transfer of state-owned shares, succession of shares and shares division for divorce. This thesis makes a comparatively systematic study in the aforementioned shares transfer issues from practical perspective, not seeking its profoundness but to provide a practical and effective thinking path for judges engaged in company case dealing with such issues.更多还原
