【摘要】 防火墙制度对于金融控股公司的发展具有显著的现实意义。它可以约束金融控股公司的内部交易,解决利益冲突问题。在国外及我国台湾地区金融控股公司的相关立法中,防火墙制度被广泛运用。这对于金融控股公司仍处于起步阶段的我国而言,具有积极的借鉴意义。本文首先对金融控股公司防火墙制度的内涵、功能及主要内容进行详细的介绍和分析,进而在比较法的视野中评介国外及我国台湾地区金融控股公司防火墙制度,最后试图寻找出适合我国的金融控股公司防火墙制度。全文除前言和结语外,共分为三章:第一章:金融控股公司防火墙制度概述。本章介绍了金融控股公司防火墙制度的含义、特征、功能及主要内容,并且探讨了金融控股公司防火墙制度存在的必要性。第二章:国外及我国台湾地区金融控股公司防火墙制度评介。本章主要介绍并评价了美国、日本及我国台湾地区的金融控股公司防火墙制度。第三章:我国金融控股公司防火墙制度的设计。本章首先介绍了我国金融控股公司的发展状况及相关法律规范的现状,其次对我国金融控股公司防火墙制度的内容提出了笔者自己的设计意见。更多还原

【Abstract】 Firewall system is of prominent practical significance to the development of financial holding company. It can control intra-group transactions and resolve conflicts of interest. Firewall system is widely applied in foreign countries and Taiwan related legislation of financial holding company. For our country whose financial holding company is still in beginning stage, this system can provide us with some useful experience. This article firstly introduces and analyzes the meaning, function and main contents of financial holding company’s firewall system; then introduces and appraises financial holding company’s firewall system of the United States, Japan and Taiwan; at last, the writer tries to find out the firewall system which fits for financial holding company in our country. Besides preface and conclusion, this article is divided into three parts:Chapter 1: Summary of Financial Holding Company’s Firewall System. This chapter introduces the meaning, characters, function and main contents of financial holding company’s firewall system, and then discusses the necessity of financial holding company’s firewall system.Chapter 2: Introduce and Appraise Financial Holding Company’s Firewall System of Foreign Country and Taiwan. This chapter mainly introduces and appraises financial holding company’s firewall system of the United States, Japan and Taiwan.Chapter 3: Design Financial Holding Company’s Firewall System of China.
