我国高速公路经营权转让问题研究

【摘要】 为筹措高速公路建设资金,盘活存量资产,缓解筹资压力,借鉴发达国家的成功经验,我国自九十年代开始,逐步开展高速公路经营权转让的实践与探索。实践表明,有偿转让高速公路经营权,是快速筹集高速公路建设资金的一种有效方式,特别是在盘活存量资产、筹集建设项目资本金、引进先进的技术和管理经验等方面,具有鲜明的特点和其他筹资方式不可替代的优势。但是,由于法律法规不健全、缺乏一整套完备的特许经营制度,高速公路经营权转让存在着一些问题。因此,加强高速公路经营权转让的研究,分析高速公路经营权的一般原理,剖析我国高速公路经营权转让中存在的问题,有针对性的提出解决的对策和措施,对全面规范转让行为有着十分重要的现实作用。本文以历史方法、比较方法和分析方法为主,系统研究与重点分析相结合,通过分析国内外高速公路经营权转让的发展历程,提出有益的借鉴和启示。剖析我国高速公路经营权转让中存在的问题,提出全面治理的框架和立法建议,希望能对完善我国高速公路经营权转让法律法规体系和配套制度,起到一定的作用。本文共分为四个部分。第一部分主要对高速公路经营权转让的一般原理进行探讨,分析高速公路经营权、经营权转让和转让协议的法律性质,同时通过对比分析高速公路经营权转让的模式,提出适合我国国情的转让模式建议,为进一步研究高速公路经营权转让问题提供理论基础。第二部分主要介绍国外高速公路经营权转让的发展和立法现状,总结其成功的经验和启示,并分析了我国高速公路经营权转让的发展和立法现状。第三部分主要从法律法规和制度、行政监督管理、具体行为等方面,分析总结我国高速公路经营权转让中存在的问题和成因。第四部分主要是对分析出的问题,有针对性的提出了解决的对策和建议。特别是如何构建公路经营权转让的专业法律法规框架和规范转让的具体行为等方面,提出具体的对策建议,具有一定的学术价值和实践借鉴作用。

【Abstract】 In order to raise highway construction funds, reinvigorate highway assets alleviate fund raising pressure, and learn successful experience from developed countries, china have gradually started the practice and explore on transfer of operating rights since 1990s.According to practical experience, transfer of highway operating rights on condition is one of the effective means to raise highway construction funds .It have some distinguishing features and irreplaceable advantages on reinvigorating assets and collecting construction funds and introducing advanced technologies and management. However, because of uncompleted laws and regulations and been the absence of a complete set of licensed management system, in order to standardized the transfer behavior, it is of great practical significance to further intensified the research of operating rights transfer and analyze the general theory and problems during transfer operation, so as to take effective steps to solve these problems. and stanrdize the transfer behavior in an all-round way.Via different writing methods, this paper put forward some constructive proposal which learn the experience of managerial rights transfer from home and abroad. In the paper, the more suitable frame and lawmaking suggestions have been proposed in order to deal with the problems during the operating rights transfer, so as to further improve managerial rights transfer related law systems and regulations.This paper consists of four parts. The first part mainly about the highway managerial rights transfer theory and the quality of highway operating rights, the transfer of operating rights and transfer agreement. With a comparative analysis between home and abroad, there is a model which suites the concrete situation has been offered. It provides a theoretical foundation for further studies on the transfer of highway operating rights. The second part mainly introduces the development and lawmaking frame of foreign highway managerial rights transfer, summarizes the useful experience and revelation, and so do our country. Part three mainly concentrates on laws and regulations, the supervision of administration, action in detail, etc. The problems in transfer operation have been analyzed. At last, there are some suggestions on the problems which proposed in part three. Especially some concrete lawmaking suggestions have been proposed on how to set up the professional frame of laws and regulations and regulate the transfer behavior. All of these may provide some references on Academic Value as well as our practices.
