国际工程承包项目的风险及管理

【摘要】 国际工程承包是一项充满风险的事业,利润和风险始终是并存的。成败的关键在于如何正确的看待风险,正确的对于风险进行评估、分析,并采取有效的措施对风险进行预防和控制,就可以避免或减小其造成的损失,甚至利用风险来获取一定的利益。本论文首先指出在国际工程承包市场的大环境下风险存在的必然性。进一步论述要处理好国际工程承包的风险问题,可以从三个方面进行研讨,即风险因素辨识,风险大小评估,风险控制、管理,包括风险的回避、分担、预防、转移、风险自留和利用风险。基于此,本文从风险对经济实体的影响将风险划分为系统性风险和非系统性风险两类,并以风险分析为基础,从合同法律角度出发,以理论与实践相结合偏重于实践的方法,通过具体案例分析提出了相应的风险应对措施,如要求业主提供付款保证;在合同中增设货币保值条款、风险合同条款,事先分配业主和承包商的设计责任;商务报价时合理选择盈亏平衡点。最后强调,承包商应当细致调查存在各类风险的主客观条件,认真分析评价项目风险影响的严重程度,事先编制项目风险应对计划,采取某些防范和转移风险的措施,促使项目风险转化为项目利润。

【Abstract】 International engineering contracting is a kind of business filled with risk. The profit and risk of international engineering contracting are co-exist all the time. The key of success is to look on risk in a proper way, conduct correct risk analysis and evaluation, employ proper methods to control the risk in order to minimize or avoid the damages it might cause, and gain some benefit out of the risk. First of all this paper raised risk is inevitable to all contractors in the international engineering contracting business. Secondly, as for the handling of the risk in international engineering contracting, it will be analyzed in three phases: risk factor analysis, risk evaluation and risk control and management, which include risk avoidance, risk sharing, risk prevention, risk transfer, risk retention and risk utilization. Based on this point, this paper considers that risk should be divided into systematic risk and non-systematic risk regarding their impact to economic entities. Concerning the important role of contract management, this paper will study risk strategy basically from the legal perspective by combining theory with practice and focusing on practical methods. For example, the contractor can require payment guarantee from the owner as well as state currency terms against inflation risk, and clauses of risk in the contract. The contractor can also clarify owner and contractor’s design responsibility in advance and reach a certain contract arrangement with the owner so that one party could claim compensation to a reasonable party. At last this paper emphasized that contractor should investigate various subjective and objective conditions that risk may come from, analyze the ponderance of the effect that the risk may cause in project process, plan for dealing with the project risk, adopting methods to control and transfer the risk into profit, obtaining more benefits by handling the risk appropriately
