预售商品房合同研究

【摘要】 预售商品房制度是我国房地产业的重要制度,对推动土地和住房制度的改革起到了重要的作用,有其存在的必要性和合理性。商品房预售合同是预售商品房制度的重要内容之一,也是目前产生纠纷较多的标的之一。国外有完善的配套法律和法规进行严格的牵制,避免矛盾和纠纷的产生,而我国由于商品房制度发展较晚,缺乏成熟完善的和配套的法律法规。本文不拘泥于一般研究合同的体系,采具体问题具体分析的务实主义方法,先从商品房预售合同的性质和特征、当事人的权利义务对合同进行初步的论述,然后对于其中存在法律缺陷的商品房预售登记备案制度进行探讨,从容易发生纠纷的关于合同成立和变更的几个具体方面进行研究,最后对期房转让的存在机理、种类、条件等方面提出自己的看法,得出商品房预售合同应当进一步完善和发展的结论。

【Abstract】 Advance sale of commercial housing system is a basic system of our real estate business. It plays an important role in promoting the reform of land and housing system. Therefore, its existence is necessary and reasonable. The contract of advance sale of commercial housing is an important part of the advance sale of commercial housing system, and also is a field that brings many disputes. There are strict restrictions in foreign laws and regulations to avoid disputes and conflicts. As for our country, because our commercial housing system was developed lately, the relevant laws and regulations are not mature, perfect and systematic.This paper applies practical methods to particularly analyze particular issues and is not limited in a general research system on contracts. At first, this paper discusses the nature and character of the contract of advance sale of commercial housing, the rights and obligations of the parties. Then, this paper analyzes the registration and putting on record system of advance sale of commercial housing which is of legal defects. Besides, this paper makes research on some issues of formation and alteration of contracts which are of many disputes. At last, this paper puts forward opinions on functions, categories and conditions of futures housing transferring and concludes that the contracts of advance sale of commercial housing should be further improved and developed.
