【副题名】以股份报价转让中关村科技园区试点及推广为例

【摘要】 目前中关村科技园区成为股份报价转让试点,其运作及推广为我国高科技园区非上市公司的股份转让开创了一条崭新的渠道。首先,从代办股份转让系统的发展历程入手,介绍了代办股份转让系统的由来、目前的基本状况以及未来的发展方向,并对在代办股份转让系统中开展股份报价转让试点的优势进行了分析,提出了以大力推动系统中的股份报价转让中关村科技园区试点及推广作为突破口,来完善代办股份转让系统的功能,并使之建设成为统一监管下的全国性的非上市公司股份转让市场的模式。其次,对于股份报价转让中关村科技园区试点的现状,总结出目前试点中“挂牌慢”和“成交清淡”两大发展中的难题,在对两大难题产生的原因进行了分析并提出解决的方法的同时,充分肯定了股份报价转让中关村科技园区试点工作所做出的成绩和对未来向全国其他52个国家级高新技术园区推广的积极意义。然后,通过对全国53个国家级高新技术园区现状和中小科技企业发展中存在的问题的分析,表明了中小型科技企业迫切需要通过规范的统一监管体制下的非上市公司股份转让市场来实现其参与资本市场运作和满足其资金需求的愿望,并从多层次资本市场体系建设、缓解中小型企业资金难题、构建和谐社会和留住我国的上市资源方面分析了报价转让试点全国推广和构建非上市公司股份转让市场的必要性,从政策上、法更多还原

【Abstract】 Zhongguancun Science Park is the experimental unit of the Stock Quoteprice project at present, its experiment and implement will be a good beginning of the stock transfer for companies unquoted on stock changes.Firstly, the history of the Stock Transfer Agent System was being discussed, this thesis mainly described about the origin of Stock Transfer Agent System, its status right now and the aims in the future, and analyzed the advantages of the implement of the Stock Quoteprice project via Stock Transfer Agent System. Based on these discussions, this thesis concluded that the management should consummate the Stock Transfer Agent System and establish a unity supervision stock transfer market to activate the stock transfer for companies unquoted on stock changes.Secondly,this thesis briefly narrated the Stock Quoteprice Transfer which was being carried out tentatively in Beijing Zhongguancun Science Park and introduced the background of the experimenting on the Stock Quoteprice Transfer.
