【摘要】 本文通过研究我国非上市股份公司的现状,探讨我国未上市公司股份交易的途径及其存在的问题,分析国外相关理论,包括美国、英国等成熟资本市场的运作模式,在借鉴外国经验的基础上,根据我国股份制企业的具体情况,比较产权交易中心和代办股份转让系统的优缺点,尝试建立一套行之有效的制度来健全我国的未上市公司的股份交易制度。引入非上市公众公司的概念,在证监会的监管下,建立健全其流通机制。引入独立第三方登记托管,规范现有的产权交易市场,作为未上市股份公司挂牌报价的场所,投资者通过委托中介机构进行未上市股份公司的交易。更多还原

【Abstract】 Incorporated company whether its shares listed on the stock exchange into a listed company and a non-listed company.For some time now, the domestic media reports,Limited Inc. brokerage illegal transfer the property rights of natural persons’unlisted shares for luring investors.In recent years, a lot of companies engaged in trading unlisted shares, was suspected of illegally held criminally accountable.It reflects a deep-seated problems, the shares of non-listed joint-stock companies on how legitimate flow ,how to provide legal channels for these companies to meet their funding needs.Explore the need for the transfer of shares of non-listed companies, and the possibility and the way how to transfer becomes very meaningful.Under current company and stock certificate law frame, the ownership of a share bargain of the non- listed company passes to produce power bargain to carry out.The legal stock certificate trade post is Shanghai, Shenzhen stock exchange.The main differentiation which produces power bargain and stock certificate to trade’s lying in producing power bargain is mainly a nominal quotation to publish an information, passing both parties to negotiate to clinch a deal;But the stock certificate trade to then be listed to appear on market, gathering prices to clinch a deal.The liquidity of the latter is stronger, the price discovers the mechanism is more reasonable with science.The share of non- listed company entrusts to the care of to be producing power trading post, producing the power bargain place design up is carry on the producing of whole power bargain and standardize not of the part produce power更多还原
