公司分立中的劳动者权利及其法律保护

【摘要】 公司分立作为现代企业扩大市场竞争力的有效方式之一,是当今公司实践中的一种普遍现象。公司分立牵涉到多方主体的利益,尤其与处于劳动关系之弱势地位的劳动者的切身利益息息相关。但我国现行立法在对公司分立中的股东利益和债权人利益保护的同时,对劳动者权利却关注不够,存在许多制度性缺陷,亟待加以充实与完善。本文在把握我国目前公司分立中劳动者合法权利保护的现状和借鉴世界各国公司分立中劳动者权利保护的有关法律制度基础上,建议公司分立时应注意保护劳动者的劳动就业权、公司内部职工持股权以及经济补偿权,提出在我国应尽早确立起公司分立状态下的劳动合同承继制度、经济补偿金制度、优先留用制度、公司社会责任制度与公司内部职工持股制度,从而有效保护公司分立中的劳动者的合法权利,增进公司经济效益,促进社会和谐发展。

【Abstract】 Corporate separation is one of valid means that enlarge market competitiveness adopted by modern enterprise, and involves the benefits of multilateral subjects, especially closely links up the vital interests of the laborers who are in the disadvantageous position in labor relation. But when protecting the benefits of the shareholder and the creditor, the present legislation in our country gives its attention to laborer’rights inadequately, and has a lot of system defects to be substantiated and perfected urgently. On the bases of grasping the statue que of the protection of laborer’s legal rights in our country’s present corporate separation and the using for reference of the related legal system of the protection of laborer’s rights in corporate separation in world countries, this paper suggests that we should notice protecting the right of work, the right of internal employee stock ownership and the right of indemnity, and propounds that our country should set inheriting system of labor contract, indemnity system, priority of continuing to employ system, corporate social responsibility and internal employee stock ownership system in corporate separation. The thesis is divided into three parts:The first part analyzes the laborer’s rights which need legal key protection and the rationality of their protection. On the basis of analyzing the protection of laborer’s rights in corporate separation by our existing laws and the distinction between corporate separation and corporate combination, the author discusses the laborer’s rights which should be protected mainly in corporate separation, and then determines that the right of employment, the
