【摘要】 股份制商业银行在我国是金融改革的试点、方向，其公司治理问题研究将有利于未来国有商业银行、城市商业银行等改进。本文主要以已上市五家股份制商业银行为研究对象，以世界经济合作与发展组织所提出的公司治理结构为基本框架，以比较研究方法，对其股权结构、内部治理等进行深入实证研究，提出了存在的主要问题。在此基础上，对国内外现有主要公司治理模式进行分析，指出我国股份制商业银行可进一步完善之处。 全文共分四章，第一章绪论；第二章对公司治理理论进行回顾；第三章指出商业银行公司治理特殊性；第四章对股份制商业银行进行实证研究；第五章指出我国股份制商业银行公司治理完善方向更多还原

【Abstract】 Share-holding commercial banks are the focus of financial reform in China and the study of the corporate governance is beneficial to the improvement of state-owned commercial banks and city commercial banks in the future. Starting with a study of five listed share-holding commercial banks, the paper, based on the structure of corporate governance proposed by the Organization of World Economic Cooperation and Development, aims to provide an in-depth study of the stork right structure and internal governance of the banks and their main existing problems by means of experimentation and comparative study. Besides, an analysis is given to the main corporate governance modes both home and abroad and light is also shed to the possible improvement of China’s share-holding commercial banks.The paper is made up of four chapters. Chapter One is an introduction; Chapter Two is a review of the theories of corporate governance; Chapter Three is the especial corporate governance of commercial banks ; Chapter Four is an experimentation study of share-holding commercial banks and Chapter Five elaborates the improvement in corporate governance possible for china’s share-holding commercial banks.更多还原
