青海省建筑设计研究院股权制度设计研究

【摘要】 产权具有激励功能,在现代企业制度条件下,人力资本在企业价值创造中的作用越来越重要,但是现行国有企业的产权制度却没有体现出人力资本的价值,人力资本对资源配置效率的功能没有体现出来。从效率激励的功能出发,研究人力资本的产权制度创新,对于推动现代企业制度的建立和收入分配制度的改革具有重要的意义。随着科学技术的进步,科研技术人员在企业发展中具有特殊的贡献,。作为科技型企业,技术型人力资本和管理型的人力资本在企业的发展中起着非常重要的作用,在企业的产权制度和股权制度的设计中也应当得到体现。由于国有企业的人力资本产权及其股权化没有得到根本解决,国有企业的激励机制与分配制度在面临市场竞争时,效率愈来愈低,使国有企业的薪酬制度的激励功能大打折扣。本论文以人力资本理论和激励理论为依据,以青海省建筑勘察设计研究咨询有限公司为研究对象,研究了科技型企业的产权制度改革和股权制度设计问题。本论之要研究了四个方面的问题:一是产权制度改革和股权制度设计的理论依据。针对科技型的企业,以人力资本理论和激励理论为依据研究科技型企业的产权制度改革问题。二是青海省建筑设计研究院的基本情况分析。分析了该企业的基本状况、资产状况、产权结构存在的问题及其影响;三是青海省建筑设计研究院的产权结构改革的方案设计。依据人力资本理论和激励论研究了青海省建筑设计研究院的产权结构和股权制度设计问题。四是青海省建筑设计研究院股权制度改革的措施。研究了产权改革的形式、股权配置制度等问题。产权制度改革是青海省建筑设计研究院发展的方向。应当以产权制度改革为核心,将青海省建筑设计研究院改制为“青海省建筑勘察设计研究咨询有限公司”,在产权制度和股权制度设计中体现人力资本和激励性质。把人力资本和物质资本作为企业存在的基础,进行有机的结合,在股权制度和产权制度设计中突出人力资本的价值。

【Abstract】 The property right has the function of encouragement, under the terms of modern enterprise system, the manpower capital is more and more important in creating enterprise’s value, but the property system of the current state-owned enterprise has not embodied the value of the manpower capital, the manpower capital has not embodied the function of efficiency of distributing resource. From encouraging efficiency, studying the property right system innovation of the manpower capital has important meanings for promoting the setting-up of the modern enterprise system and reforming the income distribution system. With the progress of science and technology, scientific and technological personnel have special contribution in enterprise’s development. As scientific and technological enterprises, technical manpower capital and managerial manpower capital play a very important role in the development of enterprises, they should be reflected in design of property system and stock right system of enterprises. Because property right of the manpower capital and stock right of the state-owned enterprise are not solved at all, Facing the market competition, the incentive system and distribution system of the state-owned enterprise make lower and lower efficiency, which makes the encouragement function of the salary system of the state-owned enterprise give a great discount. This paper is based on the theory of manpower capital and theory of encouragement, and its object is a design and study Consulting Co., Ltd of architectural reconnaissance in Qinghai Province, it has studied the reforms of property system and stock right system design question. This papermainly researches the questions of main four respects: First, reformation of property system and stock right system design are theoretical foundation of the paper. To scientific and technological enterprises, we study reformation of the property system of scientific and technological enterprises based on the theory of manpower capital and motivational theory. Second, we analyses the basic situation of Architectural Design Institute of Qinghai Province. Analysizing the basic state, assets state , property right structure existing problem and influence; Third, the conceptual design of the reformation property right structure of Architectural Design Institute of Qinghai Province. We study the property right structure and stock right system design of Architecture Design Institute of Qinghai Province according to the theory of manpower capital and motivational theory; Fourth, Measure of the stock right system reform of Architectural Design Institute of Qinghai Province. We study the form of property right reform and the collecting system stock right. The reformation of property system is developing direction of Architectural Design Institute of Qinghai Province. It should regard reformation of property system as the core, reform "Architectural reconnaissance Design, Study and Consulting Co., Ltd In Qinghai Province ", which reflects the manpower capital and encouraging nature in property system and design of the stock right system. It regards manpower capital and material capital as the foundation of enterprises existing and carries on organic combination, stresses the value of the manpower capital in design of the stock right system and property right system.
