山川铁合金股份公司经营者激励与约束机制的设计研究

【摘要】 针对山川铁合金股份公司近些年来主营业绩下滑的趋势,结合当前国企普遍存在的发展潜力和竞争力低下的情况,促使我们探寻企业经营者在企业中的作用和行为对企业产生的影响和结果。 本文首先对经营者激励与约束的理论作了分析研究,通过运用管理激励理论和企业家理论、委托代理理论、产权理论和人力资本理论等经济激励理论,从理论上为其找到了依据;其次是对山川公司经营业绩及其激励方式作了分析,总结了公司业绩与经营者激励机制间的关系,通过研究发现公司业绩下滑的主要原因在于缺乏有效的经营者激励与约束机制;最后是对山川公司激励与约束方案进行了构思和设计,提出了有效的解决方案和目标模式,并对可能存在的问题和难点作了分析。 本文的创新之处:一是山川公司的发展应以经营者的激励和约束机制建设为突破口,采用年薪制为主,股权制为辅的激励模式;二是对经营者的业绩考核应与行业发展和国家发展结合考虑,剔除外部干扰因素,客观地考核经营者;三是对经营者采取退休计划和保险计划等高保障措施,调动经营者持续努力工作的积极性。 本文的研究将会对山川公司未来发展产生如下的作用:一是通过实施对经营者的激励和约束机制,将有利于山川公司向产权多元化方向转变;二是山川公司的经营理念会从根本上得到转变,有利于企业的可持续发展和壮大;三是通过对西北大学MBA毕业论文不同发展背景下企业激励机制的比较,可以找出企业间存在差距的深层原因,为山J!!公司的发展提供参考和依据。

【Abstract】 Connecting the current situation which the competition and potentiality fall down for the state-owned, and for the declining trend of the major achievement of SHANCHUAN FERROALLOY CO., LTD in recent years, all these prompt us to explore the effect and result of the corporation which is affected by the function and action of the runner.This paper first makes a analysis for the theory of the stimulation and restriction of the runner. The gist can be found from the theory through the application controlling stimulation theory, entrepreneur theory, mandatory agency theory, property theory" and resource theory. Then, the paper also analyzes the operational achievement and the ways of stimulation, concluded the relations between the achievement and the mechanism of stimulation, by study, the main reason of the declining for the corporation achievement is lacking of effective stimulation and mechanism of restriction. At the last part of this paper, it makes a conception and provides an effective programmer and target pattern; it also analyzes the possible problems and difficulties of it.The Innovation of the paper is: Firstly, the development of the corporation should be based on the stimulation of the runners and the restriction of the mechanism construction. It also should mainly provide the annual salary system and ocher stimulation model, such as the stock-owned system. Secondly, the check for the achievement of the runner must be in accordance with the development of the industry and the country. Meanwhile, deleting other bad points is necessary. In other word, the check of the runners should be universal. Thirdly, it should enforce the retirement plan and the insurance plan and any other good measures, which is beneficial for the runners, because it can make the runners have the higherenthusiasm to work hard.Perhaps the study of the paper has the following theoretical and realistic meaning. Firstly, the state-owned corporation enforces the stimulation and restriction for the runners, and it is good for that corporation to convert towards the development of more-diversion. Secondly, the concept of the corporation may change from the bottom, which will make the corporation get sustainable development and become stronger. Thirdly, by the comparison of the corporation stimulation mechanism under the different developing background, we can find the further reason among different corporations, which can provide references to the development of the corporation.
