【摘要】 本文对国有中小型综合医院公司化改制模式进行了研究，利用SWOT分析法和相关理论对西宁市第二人民医院公司化改制的必要性、方式、内容等进行了分析，并指出公司化改制过程中，最关键的内容是医院产权改革与治理结构问题，随后，本文提出了对西宁市第二人民医院公司化改制的基本设想，并为西宁市第二人民医院设计了公司化改制的具体方案、操作步骤和流程，通过定性与定量的研究，建立了西宁市第二人民医院改制为有限责任公司、构建法人治理结构的改制模式。 本文采用了理论论述和实证分析相结合的方法进行研究。虽然本文的研究——关于西宁市第二人民医院公司化改制的设想和方案具有很强的针对性，都是为西宁市第二人民医院度身定制的，但是，西宁市第二人民医院公司化改制的历程为中小型国有综合性医院改革、公司化运作提供了一些思路，并对同类医院产权改革、建立有效的医院治理结构具有一定的借鉴意义，也为营利性医院的发展起到了一定的引导作用。更多还原

【Abstract】 The article focuses on the research of corporate reorganization of state-owned medium -small synthesize hospital. Use SWOT and relevant theories to analyze the necessity, method and content of the corporate reorganization in Xining second hospital. In the course of the corporate reorganization , the main issue is the hospital property right reformation and corporate governance. Then, the basic imagine is put forward, and specific scheme, operation steps and process designed for the corporate reorganization of Xining second hospital. Through the research of ration and qualitative, Xining second hospital is reorganized as a limited responsibility corporate, and is established the reorganization modal.Theories and cases are used in the article. The basic imagine and specific scheme is aimed specially at Xining second hospital, but the reorganization process provides some thoughts for the reformation of state-owned medium-small synthesize hospital. It will be used by hospital property right reformation, establishing an effective-corporate governance structure for reference. It also will guide the development of profitable hospitals.更多还原
