【摘要】 作为我国各个行业排头兵的上市公司，无论是经营状况还是企业的组织管理历来都是其他企业的榜样，也是其他企业未来发展模式的趋向。特别是近年来随着国有企业股份制改造的推行，我国证券市场上市公司收购案件此起彼伏，收购板块一时声名鹊起，成为我国证券市场上一个兴盛不衰的话题。重点研究国际上较为普遍采用的“要约收购”这一市场化收购方式于我国企业的实质性资产重组有很大的理论意义与现实意义。 本论文主要通过对我国深沪股市第一例“南钢股份要约收购案”与海外堪称要约收购经典案例的“香港九龙仓收购案”的对比研究，总结出在我国这种特殊的股权结构下产生的，被业内人士普遍认为流于形式的“要约收购”的特点，今后可能的发展趋势，进而分析出我国要想实现真正意义上的要约收购将面临的障碍，最后通过对英美等国家要约收购制度的借鉴，提出适应我国具体国情的发展对策与建议。 本论文以大量的实证数据、实证案例为基础，并采用比较分析方法对我国要约收购的产生背景、特点以及目前的制度与美英等国要约收购发展较为成熟的国家进行对比，进而提出在我国目前的国情条件下发展要约收购，扫清障碍的对策、建议，具有一定的理论价值和实践意义。更多还原

【Abstract】 As the procession leader of every enterprise in our country, public held corporation are the model in many ways, such as operating mechanism, organizational management and so on. Especial this years with the development of national securities market , case of public held corporation purchasing are increasing in securities market, and becoming the topic that a prosperity does not wane on the security market of our country. So research is it purchase market-based purchase way this for promote substantive rearrangement of assets have certain theory meaning and realistic meaning nearly to want.This paper proposes the idea by comparison of "Nangang’s share tender offer case " and "The storehouse of Kowloon of Hong Kong tender offer case ". Summarizes the characteristic that our country wants to tender offer and possible development trend in the future, and through tender offer the reference of the system to the countries , such as Great Britain and America ,etc. finally , put forward the development countermeasure and suggestion which meet the concrete national conditions of our country.On the base of a large number of real example data , real example case ,author adopts the characteristic and trends that the comparative analytic approach should tender offer be to our countried .And then put forward the countermeasure , suggestion tender offer in development of our country.
