【摘要】 非法经营同类营业罪属于妨害公司、企业管理秩序的犯罪，对于本罪的司法认定问题存在一些不同的理解，本文作者围绕非法经营同类营业罪，阐述了自己的一些观点。文章分为四个部分：第一部分为非法经营同类营业罪的立法渊源和意义，论述了非法经营同类营业罪的立法情况，介绍了当前国外商法对竞业禁止义务的立法模式以及我国商法中对竞业禁止的规定，阐述了刑法规定非法经营同类营业罪的立法意义。第二部分为非法经营同类营业罪的犯罪构成特征，分别论述了非法经营同类营业罪的犯罪客体、犯罪客观方面、犯罪主体、犯罪主观方面的构成特征。第三部分为非法经营同类营业罪的司法认定，主要围绕罪与非罪的界限、本罪与他罪的界限、本罪的特殊形态认定问题提出了看法，在罪与非罪的认定上分析了国有公司、企业的范围，董事、经理的认定，非法利益、的认定问题，比较了非法经营同类营业的犯罪行为与违反《公司法》的竞业禁止义务违法行为的界限。在此罪与彼罪的界限上区分了非法经营同类营业罪与为亲友非法牟利罪、贪污罪、受贿罪的界限，在特殊形态的认定上，分别论述了非法经营同类营业罪的罪数形态、共同犯罪形态、犯罪停止形态。第四部分为非法经营同类营业罪的立法完善，阐述了笔者对于非法经营同类营业罪立法完善的一些建议，建议将非法经营同类营业罪的定罪标准修改为获取非法利益数额巨大或者致使公司、企业遭受巨大损失；将非法经营同类营业罪的主体由国有公司、企业的董事、经理修改为公司、企业的董事、经理。更多还原
