析不动产抵押担保

Analysis of Real Estate Mortgage Content Brief

【摘要】 随着担保法及相关司法解释的出台,不动产抵押担保制度日趋完善;但在司法实践中存有争议,使不动产抵押担保制度未能发挥其应有作用。本文试图以民法的相关原理作为研究基础,结合国内外有关理论与立法、司法实践,采用分析、比较的方法进行分析、探讨,提出完善我国不动产抵押制度的建议。本文除引言外,共分四部分。 第一部分:对抵押、抵押权、动产抵押、不动产抵押的概念进行了阐述,讨论了动产抵押与不动产抵押的区别,并通过对大陆法系古代和现代抵押担保制度的考察,试图对我国现行抵押制度有所借鉴。 第二部分:分析了我国现行不动产抵押担保制度中一些不足之处。诸如,不动产抵押登记的管辖部门过多,程序不统一,难以保障交易安全;不动产抵押标的物有重合风险;建筑工程承包人优先受偿权的性质不明,且与在建房屋抵押权的效力冲突未规定;农村村民的房屋是否可以设定抵押权立法不明等。 第三部分:对我国有关不动产抵押的几个主要问题,包括设定抵押权的私房买卖中的权利限制、楼花按揭、城市房地产抵押的法律分析、不动产抵押权与租赁权的冲突与协调作了分析和探讨。 第四部分:提出了完善我国不动产抵押担保制度的一些具体思路和立法建议。以期能为我国建构科学、完善并具有可操作性的不动产抵押担保制度尽一己之力。

【Abstract】 Accompanying the issuing and execution of Guarantee Law and its judicial interpretations, the Real Estate Mortgage Guarantee system of China has been improved day by day. But there are still some unsettled disputations left in our judicial practice. Based on some related theories of Civil Law as well as those practices in the fields of legislature and judicature, this article probes into the hot points in Real Estate Mortgage Guarantee system of China and tries to provide some analyses and suggestions to these problems. Apart from the foreword, this article is divided into four parts:Part I: In this part, the author first offers the illustration of some fundamental conceptions, then discusses the distinction between chattel mortgage and real estate mortgage and, with research into ancient and modern mortgage guarantee systems of the continental laws system, finally make an attempt to provide some helpful examples to our current mortgage guarantee system.Part II: The focus of this part is mainly upon some weak points of the current Real Estate Mortgage Guarantee system of China. For example: Since there are too many ruling departments and without a united procedure, it’s hardly to provide safety guarantee for trading activities; there is an overlapping risk on the object in a real estate mortgage guarantee case; the character of the underlying indemnity right of a building-project constructor remains uncertain, and also there is no regulation on a possible effect collision between real estate mortgage guarantee and in-building housemortgage; There is still no legal clause on the point that whether it is possible for a rural villager’ house to become the object of mortgage guarantee.Part III: this part mainly analyzes and explores the following questions in real estate mortgage: the limitation of rights in the selling of a private house with a mortgage guarantee; Equitable Mortgage; the legal analysis of urban real estate mortgage; the collision and harmonization of real estate mortgage and leasehold.Part IV: In this part, the author offers some detailed personal thoughts and legislature suggestions which aim to improve the real estate mortgage guarantee system of China. It’s the author’s most anxious expectation that she could contribute her share to the cause of setting up a scientific, completed and practical real estate mortgage guarantee system of China.
