【摘要】 随着经济的发展，债权成为私法财产关系的中心。对债权本身进行基础性研究十分必要。本文以债权让与作为主题来展开论述，力图通过理论的解析为实务和立法提供参考。 全文主体分为五部分，第一章从历史发展入手，介绍了债权让与的含义，法律特征及其与相关制度的区别，同时分析了债权让与制度的经济性。以下三章为文章的重点内容。第二章从法律角度阐述了债权有效让与的形式要件，并对可让与的债权类型和让与通知等特殊问题进行了深入的分析。第三章对债权让与合同的内容，让与人、受让人与债务人之间的法律关系及让与合同的内外部法律效力进行了深入研究。在此基础上，第四章进一步对因债权让与引起的各种权利冲突和数次让与中如何确认优先权问题作了探讨。第五部分在分析中国现行法律规定的基础上，对完善债权让与制度提出了立法建议。 本文在综合比较各国立法的基础上，运用了归纳和实证的分析方法，对债权让与问题进行了系统而深入的研究，推动了债权理论研究的发展。更多还原

【Abstract】 With the development of economy, the debt, as a kind of proprietary, has become the core of the property law .So it is of great significance to do basic research on the thesis. This dissertation, encompassed with the assignment of credit, intends to provide references to practice and legislation.There are five parts in this paper. The first chapter, beginning with the progress of history , concerns the definition, the legal features, and the economic value of the assignment of credit. . Then compared with other related systems, it points out the differences between them. The next three chapters are the core of this paper. Chapter II explicates the formal conditions of the assignment from the legal angle ,and makes an in -depth analysis on the sorts of the debt and the notice of the assignment. Chapter III makes a study on the content of the assignment contract, also it makes a research in a full scale on the legal relations between the assignor, the assignee and the debtor and on the internal and external legal validity of the assignment contract. Furthermore, Chapter IV ,aimed at the problems induced by the assignment , probes various parties’ right conflicts and reassignment. Finally, based on the present domestic legislation related with the assignment of credit, offers some suggestions for the future legislation in this aspect.This dissertation combines the measures in analysis of comparison, illation and positivism, and makes a typical research on the assignment of credit. I hope the discussion, the conclusions and also the suggestions will be helpful to the practice and our state’s legislation on debt assignment.更多还原
