【摘要】 ９０年代以来，伴随着外商投资领域的扩大，国际资本开始选择多种方式介入中国的大型基础设施建设。其中ＢＯＴ（ＢＵＩＬＴ－ＯＰＥＲＡＴＥ－ＴＲＡＮＳＦＥＲ）投资方式一度成为热点。采用这种投资方式时，投资者和经营者首先从政府或所属机构手中取得项目的建设和经营特许权协议。而后通过投资、融资组建项目公司。公司在特许期限内拥有该项目的所有权、经营权、收益权，待特许期结束后，再将项目无偿地转让给政府机构。　　ＢＯＴ是一种新的融资方式，在不少国家和地区已获得成功，但也有不少失败的教训。我国采用ＢＯＴ方式融资的时间不长，总结一下国内外ＢＯＴ项目融资的经验和教训将会使我国在今后采用这种方式开发基础设施时少走弯路。为我国引进外资或利用内资加强基础设施建设开创一条新路。本文详细剖析了ＢＯＴ结构的特性和操作流程；分析了ＢＯＴ结构的风险因素以及进行可行性评估的必要性，并在此基础上提出用于判断ＢＯＴ项目是否可行的指标评价体系，应用经济分析的方法对项目进行预测。本研究可供政府机构、投资人、贷款人、企业以及银行计划参与一个ＢＯＴ项目时作为决策参考。更多还原

【Abstract】 From the year of 90’s, with the increase of foreign investment, there are multiple methods are adopted for international capital to participate in Chinese infrastructure related projects, and BOT(Built - Operate - Transfer) become popular. To start a BOT project, the investor and operator should first get a concession agreement from the government or its management institution. Then organize a project company through investment and financing. The company hold the ownership, management and proceeds of the project during the concession period and transfer the project to the government without charge after concession period.BOT is a new method of project finance, and succeed in some countries and area, but also some problems is existed. In China, we have a short experience in BOT practice, it’s good for us to avoid roundabout course in developing infrastructure related projects to learn the experience and lessons from the foreign BOT projects, and create a new way for introducing foreign capital and utilizing domestic capital in our country.This article analysis a BOT project in particular for its character, operating procedure, risk factors and the essential of feasibility study, and suggest an evaluation system to judge a BOT project for its feasibility, which applying economic analysis method for project forecasting.
