【摘要】 本文通过对现代公司治理结构理论的研究与分析，阐述了公司治理结构的历史、现代股份有限公司的主要特征、现代公司制度与公司治理结构的关系、公司治理结构的概念、内涵和公司治理结构的模式，构建起一整套现代公司治理结构理论的框架；分析了我国质检机构发展的历史和现状、我国质检机构发展的内部环境和外部环境、我国质检机构在现行体制运行中存在的主要问题和面临的机遇和挑战以及我国质检机构改革的必要性，并应用现代公司治理结构的相关理论：产权法人化理论、相互制衡理论、委托经营理论、激励机制理论和市场治理理论。论证了我国质检机构改革的总体思路和发展方向为企业化改革，从而对我国质检机构企业化改革的体制变革和机制变革进行了改革方案设计。并通过对我省煤炭质检机构企业化改革的个案实例分析，实证了我国质检机构企业化改革的必要性和可行性，本文对我国进一步深化质检机构改革会起到一定的参考和借鉴作用。更多还原

【Abstract】 With a study and analysis on modern corporate governance theory, this dissertation gives an account of the history of the structure, main characteristic of a modern company incorporated, modern company rules, the concept and intention of the structure as well as the mode of the corporate governance, settling up a whole set of theories for the modern in corporate governance. It also analyses the environment for our national quality-testing organizations development, the organizations history and their present situation, the main problems in their current operation, the organizations inner and outer development environment, the opportunities and challenges they confront and the necessities of the reform for them. In addition, it exerts the relevant theories such as legal person’s properties theory, the balancing theory, the entrusted management theory, motivating theory and market managing theory, proposing the general thoughts and the developing direction foe the national quality-testing institutions, and laying out the schemes for their reforms in the system and mechanism. By the case study of the provincial coal quality-testing organization’s reform incorporated, it testifies the necessity and feasibility for the national quality-testing organizations’ reform incorporated.
