论特许经营中的知识产权保护及其法律规制

【摘要】 特许经营作为一种现代化流通经营方式和组织形式在全球发展十分迅速,它以其规模化、低成本、智慧型的商业扩张方式,充分调动一切有利资本并实现最优化组合,而呈现出强大的生命力。中国特许经营起步时间不长,在其发展过程中引发了一系列相关法律问题,其中知识产权的保护和法律规制无疑是最突出的一部分。因此深化对特许经营的理论研究,加强对特许经营的法律规制就显得尤为紧迫。特许经营与知识产权有着千丝万缕的联系,特许经营的客体主要由商标、商号、店面设计、专利、专有技术和经营诀窍等一揽子知识产权所组成,这些知识产权问题渗透在特许经营的每一个环节中。可以说没有知识产权及其相应的法律保护就没有特许经营。鉴于此,笔者从特许经营的核心问题——知识产权的保护入手,同时借鉴特许经营发展成熟的美国和欧洲国家的成功经验和立法,藉此对我国特许经营的法律规制提出一些思考和建议。 本文的主要内容如下:一、特许经营与特许经营权。主要阐明特许经营的含义,法律特征以及特许经营权的性质。二、特许经营中的知识产权保护。主要包括知识产权保护问题在特许经营中的表现形式,重点分析特许经营中知识产权保护的重点问题——商标权的保护和难点问题——商业秘密的保护。三、对特许经营的法律规制。主要分析了我国目前对特许经营法律规制的特点与难点,并借鉴国际上的做法提出特许经营在我国立法的一些建议。

【Abstract】 As a kind of modern means of circulation and management or form of organization, franchising develops rapidly all over the world. It shows powerful life, and can bring every positive factors into play and realize the most optimal regrouping of capital by using its low-cost and wise way of business expand on a large scale. In China franchising conies out not long ago, so it initiates lots of legal problems among which the protection of intellectual property and its standardization and regularization are extremely important. Therefore, the task is very urgent at present to study the theory of franchising deeply and to strengthen the legal standardization and regularization. There is much relationship between franchising and intellectual property. The objects of franchising consist of a basket of intellectual properties including trade mark, trade-name, shop front design, patent, know-how and trade tricks. All these intellectual property elements infiltrate every links of franchising so that we can say no intellectual property, no franchising. In view of the above, the author starts with intellectual property protection, the core problem of franchising, and uses the experience of U.S.A. and some European countries for reference in order to put forward some suggestion to the legal standardization and regularization of Chinese franchising.The main contents are as follows:First, franchising and franchising right. Mainly clarifies the meaning and characteristic of franchising and the nature of franchising right.Second, the intellectual property protection in franchising. Include the forms of manifestation of the intellectual property protection in franchising andanalyze the key point of the intellectual property protection in franchising--protection of trade mark right, and the difficult point--protection of the tricksof trade.Third, legal standardization and regularization of franchising. Put up with some suggestions to Chinese legislation in franchising by analyzing the characteristic and difficulty of legal standardization and regularization of Chinese franchising at present, and using some international advanced experiment.
