资产证券化动作研究

【摘要】 资产证券化作为一项重要的金融创新，已成为正在崛起的一种主流融资技术。从世界范围来看，资产证券化正在改变着全球的金融资源配置。以美国为例，资产证券化的规模已经是三分天下有其一。 在我国，筹资一直是影响经济发展的最重要的问题之一。通过资产证券化，可完美地实现间接金融与直接金融的配合，国内资本市场与国际资本市场的连通，以及微观主体资产负债管理、中观产业资金汇集、宏观金融制度效率运作三者和谐统一。 90年代中期以来，我国金融界开始广泛探讨资产证券化。但迄今为止，多是从实际运作模式入手，以解决所遇到的现实问题为重点，理论深度的挖掘还不够。针对这种情况，本文注重利用经济学的理论来深入认识资产证券化，在此基础上，探索了目前情况下，如何在我国推进资产证券化，并提出了以国际化运作为突破口，引导和促进资产证券化本土化发展的观点。 本文由四个部分组成。第一部分，从资产证券化的基本概念和发展历程入手，从历史的和逻辑的角度深化了对资产证券化概念、内涵的认识；并通过对资产证券化基本类型的分析，把握了资产证券化的现金流结构。第二部分，对资产证券化的理论框架及经济效应进行解析。首先，基于资产证券化所“证券化”的不是资产本身，而是资产所产生的现金流这一本质特点，介绍了资产证券化的几大原理；其次，从微观和宏观两个角度，对资产证券化的经济效应作了剖析，同时，也说明了资产证券化得以迅速发展的动因；最后，对资产证券化的风险收益状况进行了分析。第三部分，从资产证券化的操作流程入手，探讨了其运作中的关键性技术环节——SPV的设立及有效运作，并一一分析了在我国推行资产证券化的种种制度性约束。第四部分，对我国如何开展资产证券化进行了探讨。首先，分析了资产证券化对我国经济的作用以及我国推行资产证券化的战略意义；其次，从市场需求方面考察了我国推行资产证券化的现实可能性，主要分析了目前在我国可用于证券化的资产的有效供给、资产支持证券的投资需求，并提出了待开展资产证券化的选择模式；最后，提出了以国际化运作引导和促进我国资产证券化本土化发展的观点。文章在分析了我国推行资产证券化国际运作的优势及意义之后，重点研究了如何以离岸操作来带动和促进我国资产证券化市场的构建。更多还原

【Abstract】 Asset securitization is the important achievement of the financial derivative innovation. And it is being an emerging financing method, which is in the main stream. Internationally speaking, Asset securitization has been transforming the allocation of world financial resources. Take the US for an example, the market share of Asset securitization has reached 1/3 of the total debt market.In China, the difficulty in raising funds has always been a significant obstacle to economy development. Asset securitization will facilitate the combination of direct finance and indirect finance, and the unity of finance, real estate and fundamental facilities, and also the harmonization of the management of micro entity assets and liabilities, the collection of industrial funds in the medium level and the efficiency of macro finance system.From the midterm of 1990’s, asset securitization has been discussed widely in Chinese finance field. Up to now, the research focuses on the breach gap of it. It has developed from the operation model, and regards it as emphasis to solve the real problems. But the depth of theory is not enough. Facing the situation, this thesis will apply the west economics to the research of asset securitization. Then I will discuss how to develop asset securitization, and raise the view to make the internationalization as the breach gap and to lead the indigenization of it.更多还原
