江动二级生产单位模拟民营化改制研究

【摘要】 本文首先对江淮动力股份有限公司(以下简称“江动”)的发展历史、现状及当前该公司在体制、机制、管理上存在的问题作了较全面的简述。在简要而又系统地介绍了建立现代企业制度的基本要求和西方国家对国有企业管理的经验的基础上,结合江动实际指出了在其委托代理、“三会”建设以及对经理层的激励和约束这几个方面存在的问题,并分析了产生的原因,意在说明像江动这样的老国企在改制后为什么仍难以搞好。而在与国有企业同处在一个竞争环境中民营企业经过十多年经营磨炼后,以其独特的治理结构和运行机制较适应了我国这个独特的市场经济的环境,且得以发展壮大,它们经营模式为当前深化国有企业改革,搞好国有企业提供了直接可借鉴之处。江动领导班子针对入世后经营环境、竞争对手的变化而导致“小柴”行业的国企普遍经营困难这一不利局面,审时度势,决定抓住机遇,在维持江动现有整体体制不变的情况下,对二级生产单位模拟民营化,实施公司制改造,建立企业内部市场,从体制上、机制上为它们创造良好的经营环境,通过一年的试运转取得了明显的经济效果。本文从理论上、入世后国际国内竞争对手变化、行业特点并结合江动当前的实际阐述了为什么要对二级生产单位进行模拟民营化改制,在介绍了江动具体做法后,对模拟后二级生产单位在运营上发生了一系列变化及取得的经济效果作了总结、分析,还从体制、机制、管理这三个方面指出了江动在这次模拟过程中所作的创新。同时对这次模拟民营化运营的实践中出现的一系列新问题作了分析,并给出了建议。

【Abstract】 This thesis first introduces the developed history, present and problems in system, mechanism, management of Jiang Dong joint-stock Lt.Co. Its points out that Jiang Dong exits the questions in principal-agent, san-hui construction , incentive and restrain to managers after explaining basic requirement of modern enterprise system and capitalism country experiences to manage state enterprise , furthermore analyzes reasons in order to explain why the older state enterprise like Jiang Dong operates difficulty after reform system. Yet, privately enterprise is fit to particular market system circumstance of our country undergo ten years operation . Resting on their special harness structure and mechanism, privately enterprises have developed, Their operation model directs to apply in state enterprise for deepen reform. Jiang Dong leaders decide to grasp opportunity, in the light .our country entered WTO, which leaders to changes in operation circumstance, rival and Xian Zai industry worse, keeping present whole system , second class manufacture unit is imitated privately enterprise running , establishing enterprise inside market in order to build good operation circumstances from system to mechanism for them .this method has obtained economic effects though one year test . This thesis gives reasons that Jiang Dong’ second class manufacture unit imitates privately enterprise running from theoretical to practice , after introduction his experiences , its sums up a series of changes after imitating and points out innovation in system, mechanism, management .The practice of imitating appears a lot of new questions ,the author gives his proposals.
