上市家族企业公司治理的研究

【摘要】 良好的公司治理是投资人保持信心的保证，也是证券市场能健康发展的根本。因此公司治理长期以来一直是人们普遍关注的焦点。随着经济的发展，民营企业越来越显出强大的生命力，并相继开始上市。其中有一部分是家族企业，因此家族企业的公司治理成了一个重要的议题。本文以上市的家族企业为研究对象，采用规范的研究方法，从内外两个角度出发，结合家族企业的特点，从三会(股东大会、董事会、监事会)、职业经理人、“一股独大”现象以及信息披露四个方面入手，分析了家族企业的公司治理，并提出自己的建议和看法。更多还原

【Abstract】 Good Corporate Governance is the guarantee for investors to keep confidence，and it is the base that capital market can develop wealthy．Thus CorporateGovernance attracts many people’S eyes．With the development of economy，theprivate enterprises show increasingly mighty vitality，and they begin to list．Among these listed private businesses，a part of them are family controlledbusinesses．So the Corporate Governance in listed family controlled businessbecomes an important issue．The object of this paper is listed family controlledbusinesses．Using normative research method，the paper combines the charactersof family controlled businesses to discuss，from inside and outside，the CorporateGovernance in family controlled businesses from following areas：GeneralMeeting of Shareholders，Board of Directors，Supervisor Meeting．professionalmanager，occupying most part of share，information disclosure．The author givesthe opinions on the problems．更多还原
