现代公司治理中的独立董事制度研究

【摘要】 公司治理已经受到世界各国的普遍关注，各国因历史传统、文化背景、政治经济制度的不同而表现出迥然有异的治理模式。在经济发展的不同时期，各种治理模式先后起到不同的主导作用。目前，独立董事作为设立在公司内部的一个特殊的组织结构，对平衡股东与管理层的利益冲突，监督和制约“内部人控制"，以及完善公司治理起到积极作用。 我国引进独立董事制度是一个循序渐进的过程，正式的规范性文件是中国证监会于2001年8月16日颁布的《关于在上市公司建立独立董事制度的指导意见》。它对于上市公司完善治理结构和规范运作具有直接的影响。本文以独立董事对加强公司治理结构的作用和机制进行研究，认为中国目前实行独立董事制度还存在差距，首先，中国传统的公司治理结构模式采用的是双层制结构，监事会专门行使监督职能，这与独立董事存在的基础不同，且二者同时并存，会加大公司成本；其次，独立董事的产生机制存在缺陷，独立董事由谁提名和决定，没有很好的制度安排，不能真正解决大股东控制的问题。第三，独立董事在董事会所占比例仍然偏低，独立董事受同化现象影响了独立判断能力。第四，独立董事被当作公司顾问对待，公司没有摆正独立董事的位置。第五，独立董事的报酬没有很好解决，表现在由谁支付和怎样支付不明确，也不完善。第六，独立董事是否应当承担监督不力的责任，没有明确规定。综上所述，独立董事在引进上市公司治理结构之初，很难立竿见影，产生很大成效。为此，本文探讨了独立董事在公司治理中的地位和作用，比较了三种典型公司治理模式的优劣，介绍了独立董事在美国的产生、发展及实践经验，探索适合我国实施的独立董事制度。立足本国现实，本文分析了当前中国上市公司存在的主要问题是：股权结构不合理；董事会独立性不强；监事会形同虚设；外部环境不完善，证券市场不完善等。认为需要采取的措施是：一、不断健全与之配套的法律法规及制度。二、加强独立董事的培训，尽快培育一个符合公司治理要求的人才市场。三、改革独立董事的产生机制，实行累积投票制；四、采取有效措施，确实保障独立董事的工作效率。五、建立健全对独立董事的问责机制。六、进一步改革独立董事的报酬制度。此外，为了配合独立董事制度的实施，我们可以借鉴其他国家的成功经验，不断完善监事会职能、协调监事会与独立董事的关系，发挥银行作为主要债权人的融资优势，加强债权人银行的外部监督作用，发挥社会主义职工民主参与管理的主动性，对全面完善公司治理都具有积极的作用更多还原

【Abstract】 Corporate management has been a common concern of the companies in the world. However, the managerial patterns may vary with heterogeneous traditions, cultural backgrounds, and political and economic systems. In the course of the world’s economic development, each pattern correspondingly plays a dominant role in different periods. At present, as a special section in the company, the independent directors play an active role in balancing the benefit conflicts between shareholders and managers, supervising and regulating "inner circle control", and optimizing corporate management.In our country, introducing the system of independent directors is a gradual process. Its official debut was on Aug. 16th 2001, when China Securities Regulatory Commission issued the Guidelines for Introducing Independent Directors to the Board of Directors of Listed Companies. By researching the roles of independent directors in strengthening corporate management and operation, I think that there is still a long way for us to promote the system of independent directors in China in a real sense. Above all, this thesis is devoted to the roles and functions of independent directors in corporate management. It also deals with the advantage and disadvantage among the three typical patterns of corporate management; and focuses on the emergence, development and practical experience of independent directors in U.S.A. so as to seek a system of independent directors suitable in our country. China has its own contexts different from other countries, and its historical tradition and cultural backgrounds will have a far-reaching effect on corporate management. Thereby, based upon the context of our country, this thesis holds that our country should make active efforts.There are the effective measures to improve the corporate management in our country.
