【摘要】 关联交易是指发生在关联人之间的有关转移资源或义务的事项安排行为。关联交易就其性质而言，既不是纯粹的市场交易，也不属于内幕交易，具有二重性；从法律的角度看，交易双方都是独立的经济实体，具有法律上的平等性，因此，交易类似市场行为。但由于它们之间存在控制与从属的关系，因而事实上双方的地位又是不平等的，在这种条件下的交易又体现出企业内部交易的某些特点。由这种二重性所产生的影响也具有两方面，降低交易费用，这是其积极的一面。但在市场经济中，一切交易都应以市场竞争为条件，这是保证交易公平性的基本原则，显然，关联交易偏离了这一原则。本文中，作者，从民事权利的取得、享有、行使等一系列的过程中，对存在的制度缺陷进行分析，并提出补救的相关设想。采用了大量的事实资料用于分析，希望能够得到较为全面的看法。最后，笔者设计了较多的救济程序。希望能为法律实践的改善提供一些思路。更多还原

【Abstract】 Related trade refers to an item-arranged activity that involves transferring assets or obligation between related entities. By its nature,it is neither a pure market trade,nor an inside trade,but rather,a thing with characteristics of the both. From the perspective of law,both entities of a trade are independent economic ones with legal equality. Therefore,the trade resembles a market activity. However,because ofdominant and subordinate relation between them,the actual status of the two are not equal,under the condition of which the trade shows some characteristics of enterprise inside trade. The dual character will result in dual influence,one of which is that it may bring about reduction of transaction fees with a positive act. On the other side,every trade should be made in the condition of market competition,which is a primary principle. With no doubt,the related trade deviates the principle. In this thesis,the present author,starts with analyzing the process of obtaining,enjoying and using of civil right;then makes a deep analysis of the defects in legal system,and put forth a remedial idea. Based on a great number of cases,the aim of this thesis tries to get a comprehensive knowledge of the related trade. Finally,the author designes a remedial program,in the hope of provide a clue for improving legal practice.更多还原
