【摘要】 在我国外贸经营权审批制度下，外贸代理是我国外贸业务的重要形式。研究外贸代理制在理论和实践上都有重要意义。从外贸代理的形式看，外贸代理既有直接代理，又有间接代理和隐名代理。但在《合同法》颁布前，我国调整外贸代理的法律、法规只有《民法通则》和《暂行规定》，立法上存在的不足严重制约了我国外贸代理的发展。代理制度在我国的立法过程中引起了很多的争议和思考，原因就在于我国的法系是大陆法系而同时又受到英美法的撞击。新的《合同法》对外贸代理的规定大胆借鉴了英美法系的隐名代理制度，而且规定了大陆法系的间接代理制度，完善了我国外贸代理法律制度。本文从外贸代理的法律性质入手，逐步分析英美法系和大陆法系的代理制度，分析国外关于代理的立法，结合我国《民法通则》、《暂行规定》、《合同法》的关于代理的规定，指出了外贸代理存在的法律问题，并提出了完善外贸代理制的措施。更多还原

【Abstract】 In our country foreign trade management examine and approve system, foreign trade it acts as agent to be of our country foreign trade important form of business. There are important meanings on the theory and practice to study the agent system in foreign trade. Seen from form in which foreign trade acts as agent, foreign trade act as agent have and act as agent directly, have act as agent and anonymous agent indirectly. But before" contract law" is issued , law, regulation that our country adjusted foreign trade and acted as agent are" general rule of the civil law" and" temporary provisions", Deficiency that exist on legislating restrain of our country development who foreign trade act as agent from seriously. Agent’s system has caused a lot of dispute and thinking while our country is legislative, Reason lie in department receive Great Britain striking of the U.S.A. and France at the same time law department continent law of our country right away. To what foreign trade act as agent regulation bold to draw lessons from Great Britain American and French anonymous agent system of department, stipulate new" contract law" indirectness of department act for system law continent, Act for the legal system after perfecting the foreign trade of our country. This text proceed with legal nature of acting as agent in foreign trade, analyse Great Britain American and French department and law of continent agent system of department progressively, Analyse that combines" general rule of the civil law" of our country, the provisions on acting as agent of temporary provisions"," contract law" about the legislation of acting as agent abroad, It points out foreign trade act as agent legal question that have and has proposed that perfects the measure of the agent system in foreign trade.更多还原
