商业秘密保护中的竞业禁止制度研究

【摘要】 在竞争的市场环境下,企业要想在市场上占有一定的份额,必须具备不为公众所知悉,能为企业带来经济效益,具有实用性并经企业采取保密措施的技术信息和经营信息等商业秘密。而正是出于保守商业秘密的考虑,已有较多的信息密集型的企事业单位,通过协议或内部规章,对职员作出竞业禁止的规范与约定,即禁止职员在本单位和离职后与本单位进行业务竞争。但是由此引发的纠纷也渐露端倪,并有蔓延之势。如美国洛佩兹跳槽案,中国青年旅行总社诉中国旅行总社利用其原工作人员擅自带走的客户档案进行经营活动侵犯商业秘密纠纷案。 文章从商业秘密保护着手,认为人才流动是商业秘密丧失的主渠道,因此有必要建立商业秘密保护中的竞业禁止制度;文章探讨了竞业禁止的一般原理,并论证了实行竞业禁止的理由;同时分别从职工在职期间和离职后两个阶段论述了竞业禁止制度;最后,文章研究了竞业禁止协议的法律地位,合法性和合理性的判断标准,提出用竞业禁止制度来保护商业秘密,维护公平竞争。

【Abstract】 In a competitive market environment, if it wants to occupy a place in the market, an enterprise must posses some pracrical business secrets such as technical information and management informatin, which should be unknown to the public but can bring economic profits to the enterprise.lt is out of the consideration of keeping the business secrets that many information concentrated enterprises and agencies have passed regulations and stipulations of trade restraint to forbid their staff members to compete with their own enterprises by means of agreements or internal regulations. However, dissension resulting from these regulations and stipulations has appeared and tends to spread. A case in point is thejob-hopping of &4H1& in the United States. Another good example is the China Youth Travel Service charging China Travel Service with the violation of business secrets secrets by making use of the customers’ files taken away by its former staff member.The article sets out with the protection of business secrects,stating that the transferring of talented people is the main channel for the giving away of the business secrets.Thus it advances the necessity to build a trade restraint system in competitive industries. The article also discusses the trade restraint system. Meanwhile, it discusses the system from the staff member’s incumbency period and his dimission period respectively. Finally, the article investigates into the legal status of the covenants not to compete and the validity of verdict criteria, thusadvancing to protect the bus iness secrets andmaintain fair competitiol with the trade restraintsystem.
