国企建立职业经理人制度的困难和对策研究

【摘要】 当前的国有企业管理者及其企业管理,存在着许多值得研究的现象以及由此引发的种种争议,例如,国有企业管理者拥有多重身份,国有企业内部高管职位经常出现政府官员与职业经理人并存的情况,引入或已经建立了职业经理人制度的国有企业很少等等,本论文作者认为,正是由于国有企业建立职业经理人制度的过程存在例如经理人身份独立性、多重身份等方面的困难和问题,这些障碍和问题并没有得到解决或改善,故而严重影响了国有企业建立职业经理人制度的广泛实施。因此,只有解决好了这些障碍和问题,才能够进一步推动我国国有企业广泛建立职业经理人制度。论文首先是从理论基础上说明了研究此问题的重要性,并简要介绍了我国国有企业管理者的演进历程。紧接着,论文对当前制度背景下国有企业管理者现状进行了剖析,论文搜集并整理了YN省国有控股上市公司高级管理人员的概况,涵盖的内容包括姓名,职务,学历,出生年份等方面内容。分别从国有企业管理层学历概况、国有企业管理层年龄结构、国有企业管理者类型、国有企业管理者遴选机制、国有企业管理层身份转换现状、国有企业管理层流动特征、国有企业管理层激励—约束机制、国有资产管理者代表与经营者混体运行产生弊端等方面着手,并根据这些内容反映出的情况进行了分析。接下来,论文在上文基础之上继续阐述了当前制度背景下国有企业职业经理人制度及其面临的问题。分别从经理人独立性、身份明确性、遴选机制对经理人造成的冲击、行政化倾向产生的外部性等方面展开。最后,论文针对上述障碍和问题提出了相应的政策建议,并进行了研究总结。总体而言,论文贯彻了一条思路,那就是,建立职业经理人制度是我国国有企业改革与发展实现突破的必由之路。合理的经理人制度安排可以使得经理人真正发挥作用,激励经理人努力工作,促进公司发展,实现自身财富增值。作者期望本论文的研究成果能够对我国国有企业实施职业经理人制度起到一定的积极作用。

【Abstract】 Among these State-owned enterprises (SOEs) managers and their business administration, there are a lot of phenomena as well as arguments. Take something for example, State-owned enterprises (SOEs) managers own multiple identifications; government officers also can become the senior managers in the SOEs; least of the state-owned enterprises could not introduce professional agent to their corporations, and so on.The author of this dissertation thinks that there are many obstacles and problems,such as independence, multiple identifications and so on, between the SOEs and the professional agent system, which are not resolved. Only if those difficulties can be handled properly, then we can implement the professional agent system in the State-owned enterprises extensively.Due to the fact, the dissertation reviews those theories on the institution change, the human resource capital, the contractual nature of the firm firstly, and then investigates the general situations among the SOEs operators, the general situations consist of the their names, posts, their education backgrounds, their age compositions, type, election mechanism, identification transition situation, the floating feature, and the incentive-restraint mechanism, and so on.After laborious statistic analysis and summaries, the dissertation gives a set of systematical solutions tentatively. Finally, the dissertation concludes the total research works, and then it also indicates some defects and deficiencies on them and shows some fileds which are valuable to be researched during the future.The author of this dissertation expects these works could make positive effects on the process of implement of the professional agent institutions on the state-owned enterprises.
