国有企业法律顾问制度研究

【摘要】 企业法律顾问制度作为现代企业管理制度的有机组成部分,在西方发达资本主义国家的发展已经比较成熟与完善,是大型企业普遍采用的一项重要管理制度。在我国,虽然在建国初期就有了雏形,但其真正得到规范发展还是从上世纪90年代末开始的。尤其是2002年国家七部委联合组织在国有重点企业开展企业总法律顾问制度试点工作及2004年国务院国资委施行《国有企业法律顾问管理办法》以来,企业法律顾问制度建设在全国国有企业范围内轰轰烈烈地展开。国有企业是国民经济的支柱,随着经济活动的日益复杂化和国际化,国有企业面临的风险也日益加大。为增强国有企业的法律风险防范能力,保障国有资产的保值增值,国家率先在国有企业强势推行企业法律顾问制度具有重要意义。本文坚持以实事求是的态度,全方位地审视我国国有企业法律顾问制度,从介绍企业法律顾问及企业法律顾问制度的基本概念入手,借鉴西方国家的成熟经验,结合我国国有企业的实际情况,从企业法律顾问制度的管理体制、工作机制、人力资源管理及具体的责权利方面进行了分析和阐述,指出了目前存在的问题,并提出了解决问题的方法和措施,以期对我国国有企业法律顾问制度的完善有所裨益。更多还原

【Abstract】 As the integral part of modern enterprise management system, the enterprise legal adviser system is an important management system which is widely used by large enterprise, and its development has been relatively mature and perfect in western captalist countries. In China, although the enterprise legal adviser system has had a prototype in the early days of new China, its real development started from the late of 1990s. Particular, a pilot program of enterprise legal adviser system jointly initiated by seven national Ministries and Commissions was carried out in major state-owned enterprises in 2002, and State-owned Assets Supervision & Administration Commission of the State Council issued "Administrative Regulation on State-owned enterprises Legal Adviser Management" in 2004; since then, the establishment of enterprise legal adviser system starts off with a bang in the state-owned enterprises nationwide. State-owned enterprises are the backbone of national economy, which now are facing the increasing risks as the economy becomes more complex and globalized. Therefore it is of great significance to enforce the implement of enterprise legal adviser system first in state-owned enterprises in order to improve their ability in prevention of legal risk and ensure preservation and appreciation of state assets. Based on scholarly researches, this paper examines thoroughly the state-owned enterprises legal adviser system. It starts with the introduction of basic concepts concerning enterprise legal adviser and its system, analyzes and explains from the aspect of management system, working mechanism, human resources and concrete responsibility with unified right. Then, the paper points out the current problems and provides with solutions in hope to benefit the improvement of the state-owned enterprises legal adviser system.更多还原
