【摘要】 20世纪80年代,在我国农村诞生了股份合作制,伴随着乡镇企业的迅速崛起,股份合作制度已日趋成熟。在这个过程中股份合作制从城镇回到农村,以“土地入股”的形式,为股份合作制创造出新的活力。简而言之,股份合作制从农村来,发展在城镇,现在又走入农村,是一个不断变化、发展及完善的过程。土地股份合作制产生的前提是家庭联产承包责任制,此时拥有承包权的农民用土地使用权入股让自己获得了职工和股东的双重身份,是对土地产权的一个伟大创新。土地股份合作制属于股份合作制,发展股份合作制不是对家庭联产承包责任制全部否定,而是两者的优化配置。本文从实际出发,研究两者的优缺点,总结新时期的发展特点,进而对如何发展股份合作制度提出立法上的建议。本文的重点是:如何在贯彻家庭联产承包责任制的前提下发展好股份合作制?从理论上讲,股份合作制和家庭联产承包责任制度没有必然的联系;从实践上讲,农村土地股份合作制将这两种制度有机结合在一起。应用好这两种制度,使其服务于经济社会必须搞清楚其与时代发展的冲突,这是股份合作制立法难,至今无法可依的原因。本文共分为五章,第一章是绪论。第二章旨在论述家庭联产承包责任制度的产生背景、发展过程和法律特点。第三章介绍股份合作制的形成、发展和法律特点。第四章介绍股份合作制与家庭联产承包责任制度的区别与联系,比较两种制度的优劣。总结发展股份合作制过程中,因家庭联产承包责任制的束缚而带来的阻碍。第五章在前四章的基础上分析发展股份合作制的方法,本章的重点是提出股份合作制的立法的相关建议。更多还原

The second chapter presents joint-stock cooperative system formation, development and legal characteristics. The third chapter presents joint-stock cooperative system and the household contract responsibility system, compares the differences and relations of two kind of system optimal slightly. Sum up the developing process of joint-stock system of the household contract responsibility system, because the obstacles that brings bring bondage.
