【摘要】 企业运营中的法律风险是指企业在运作、管理过程中由于不懂法律、疏于法律审查,或者逃避法律监管而违犯国家法律、法规或者其他规章制度导致承担法律责任或者受到法律制裁的风险,以及主观上不知道采取法律手段对自己的权利或者将要遭受的经济损失进行法律救济所带来的经济损失的风险。近年来,我国企业遭遇的法律风险是前所未有的,其原因在于:一方面,我国市场经济得到进一步发展,中国企业走向国际,相应经济活动增多;另一方面,市场进一步规范,法律法规更加健全。在这样的环境下,我国企业还是停留在原来的思维模式及管理中,法律风险自然会大大增加。市场经济就是法制经济,市场本身的缺陷要求得到法律的规制,企业的运营同样需要法律约束。在这样的背景下,如何正确运用法律规范企业运营活动、防范法律风险成为我国企业的新课题。本文采用理论与实证相结合、历史与逻辑相统一、定性分析和定量分析、对比分析与个案分析综合运用的研究方法,在马克思企业理论、马克思经济与法相关理论分析的基础上,介绍了企业运营中法律风险的相关概念并说明了构建企业法律风险防范机制对社会主义市场经济的重要意义。然后,就企业运营中的投资风险、交易合同风险、人力资源管理风险、知识产权侵权风险、产品及服务质量引发的风险等主要风险进行了论述。随后,从主观因素、企业自身因素、企业间的恶意竞争因素、社会因素、国际环境影响等方面对企业运营风险的形成原因进行了细致深入的分析。最后提出了相应的对策,建议企业应当提高法律风险意识,加强运营管理制度建设,建立企业运营的法律体系来积极应对法律风险。更多还原

【Abstract】 Legal risks in the enterprise operation means in the operation and management process,enterprise should undertake the risks of legal liability and legal sanction because ofmisunderstanding the law, negligence of legal examination or avoiding a control imposed bylaw, or the risks of economic loss because of not knowing to use the legal means to assert itsrights and avoid economic loss. In recent years, the legal risks enterprises encountered in ourcountry are unprecedented, the reason lies in, the national socialism marketing develops, theChinese enterprise have broadened their scope from domestic to international, the economicactivities increased, and the market has further standarded with regulation, the legal systemare more perfect. Under such environment, enterprises in our country pause in the originalideological mode and the management, the legal risk will increase greatly naturally. Themarket economy is the legal system economy, market’s flaw requests to obtain the legal rulesand regulations, enterprise operation also need legal restraint. Under such background, how touse the law to regulate enterprise operation activities, and guard against legal risks becomeour new task.This paper adopts analytical way combining theoretic analysis with demonstrative study,consolidated method of history and logic, combining quantitative identification withqualitative analysis, contrast analysis with case analyzing, on the base of Marxist enterprisetheory and the Marxist Law and Economics theory, introduces related concep on legal risks inenterprise operation, and shows the significance of constructing enterprise legal riskprevention mechanism to the national socialism marketing. Then, this paper expounds themain legal risks in enterprise operation, describing the investment risk, contract risk,management of human resource risk, intellectual property risk, product and service qualityrisk. Afterward, the paper analyse the causes of legal risks from subjective factor, enterprises’ own factor, enterprises’malicious competition factor, social factor, and internationalenvironment influence. Finally, the paper proposes the corresponding countermeasures,suggestting the enterprise must raise the legal risk awareness, enhance the operation controlsystem construction, establish the legal system of enterprise operation, to manage the legalrisk.更多还原
