服务业跨国公司产权结构变迁研究

【摘要】 服务业对外投资载体主要是服务业跨国公司,随着服务业对外投资在世界对外投资中比重逐步上升,对服务业跨国公司研究具有重要的现实和理论意义。本文旨在通过对服务业跨国公司产权结构变迁研究基础上,为我国服务业跨国公司积极参与国际竞争提供有益的参考和借鉴。在构建本文分析框架、介绍服务业跨国公司发展历程、发展特点以及服务业跨国公司产权结构的历史形态基础上。本文运用马克思生产力与生产关系矛盾运动和制度变迁动力与来源理论,认为服务业跨国公司生产力系统随服务业跨国公司所处时代与环境发生变化,使得生产力系统资源的重要性稀缺性也随之发生改变。在服务业跨国公司中拥有重要稀缺资源的所有者在合作剩余创造中的重要性上升,导致在企业合作剩余分配谈判中地位提高。由于契约的不完全性,服务业跨国公司各产权主体从自身利益最大化出发进行合作剩余分配谈判,改变已有的合作剩余分配方式。服务业跨国公司产权结构发生改变,适应服务业跨国公司生产力发展。服务业跨国公司产权结构依次从单一物质资本产权结构、物质资本产权与人力资本产权联合的产权结构向要素产权联合与集体产权联合的联合产权结构方向变迁。随后对服务业跨国公司星巴克进行了分析。星巴克通过给予员工适当的无偿配股计划、福利计划在短短的四十年间成为世界性跨国公司并且受到很高的评价。最后,结合我国服务业跨国公司发展现状和产权结构现状,提出联合产权结构可以更好的调动我国服务业跨国公司内各利益相关者为合作剩余最大化努力,促进我国服务业跨国公司积极参与国际竞争和快速发展。本文框架结构如下:第一章是引言,主要介绍本文选题的背景、研究思路等;第二章是服务业跨国公司产权结构变迁历史,介绍服务业跨国公司产权结构历史形态;第三章是服务业跨国公司产权结构变迁理论分析,分析服务业跨国公司产权结构变迁的原因和方向;第四章是服务业跨国公司产权结构变迁案例研究;第五章是我国服务业跨国公司产权结构现状和目标选择;最后是结论与展望。

【Abstract】 The Foreign Direct Invertment in servicing industry mainly carry out by servicing Multinational Enterprise,along with the enlargement of the Foreign Direct Invertment in servicing industry,to pay most attention on Multinational Enterprise seem to have important practical and theoretical significance.This paper aims to provide useful information and reference for participation in international competition of our China’s Service Multinational Corporations (MNCs) through the study of changes in ownership structure of the Service Corporation.After constructing annlysis framework, introducing the Service Multinational Enterprise development process,feature and the historical forms of ownership structure, the paper believe that productive system of Multinational Enterprise changes along with the era and the environment in which Multinational Enterprise live and make the scarcity and importance of productive resources change,applying the Marxist theory of the contradicrion between productive forces and production and the power and external sources of theory of institutinlal changes.The importance and of owners of scarce resources in Multinational Enterprise increase in the creation of cooperative surplus and lead the improvement of the status of negotiations in the allocations of the enterprise’s cooperative surplus.The property rights of departure in service multinational enterprise have negotiations of allocation from the self-interested maximization and change the allocation of the existded cooperation surplus because of incomplete contracts. Ownership structure of service multinational enterprise dynamically changes to adapt the development of service multinational enterprise’s productivity. Ownership structure of service multinational enterprise has changed from physical capital ownership structure to ownership structure of physical capital and intangible capital property joint to co-ownership structure of elements ownership joint and collective ownership joint.Besides, this paper selected typical services MNCs---Starbucks as good examples for analysis.By giving the employees appropriate Starbucks shares and welfare programs, Starbucks become a global multinational corporations in just few decades and has received high appraisal.Finally related to the present ownership structure of Chinese multinational companies, the paper presented that the co-ownership structure can better mobilize the stakeholders of Chinese multinational companies for maximization of cooperative surplus,which can promote that China’s service multinational corporations actively participate in international comptition and rapid develop.The framework is as follows: The first chapter is an introduction, describes the background,thoughts, etc;The second chapter is the historical changes in ownership structure S Service Multinational Enterprise, introducion the historical forms of ownership structure of Service Multinational Enterprise; The third chapter is the theoretical analysis of multinational ownership structure changes, analysis reasons and direction of ownership structure of service MNCs reasons; The fourth chapter is case studies of ownership structure of Service Multinational Enterprise; The fifth chapter is the status and the target selection of the Service corporation ownership structure in China; Finally, conclusions and outlook.
