【摘要】 专利实施许可合同是一种非常重要的技术合同,在现有民法合同体系中占有重要的地位,它对于加快技术成果的转化和变现步伐并促进生产力的发展发挥着积极的作用。专利实施许可合同具有自身特殊性和复杂性,主要体现于其违约行为的主要形态、违约责任的归责原则和承担违约责任的方式等方面。如何处理好专利实施许可合同违约纠纷以利于定争止纷并促进先进专利技术顺利实施需要专利实施许可合同违约责任制度的进一步完善,并完备订立专利实施许可合同所需的必要条款等。本文在论述专利实施许可合同及其特殊性的基础上,通过对我国专利实施许可合同违约责任制度的研究,分析专利实施许可合同违约责任制度中存在的问题,探讨完善专利实施许可合同的违约责任制度以及合同的必要条款,以期规范专利实施许可行为,维护专利市场的正常秩序,保护当事人的合法权益,促进我国经济发展。全文除了引言和结语外,共分为四个部分。第一部分研究了专利实施许可合同的基础理论。首先分析了专利实施许可合同当事人的义务,其次研究了专利实施许可合同区别于一般民事合同的法律特征及专利实施许可合同违约责任的特征。第二部分对专利实施许可合同违约责任进行了比较研究。首先阐述了专利实施许可合同违约行为的主要形态,其次分析了专利实施许可合同违约责任的归责原则,再次对专利实施许可合同违约责任的承担方式进行了论述,最后总结出专利实施许可合同违约责任的免责事由。第三部分是对我国专利实施许可合同违约责任进行实证分析。首先分析了影响专利实施许可合同顺利进行的因素,然后重点研究了我国专利实施许可合同违约责任制度存在的不足和相关的问题。第四部分从我国专利制度的实际出发,以促进专利技术的实施为宗旨,探讨我国专利实施许可合同违约责任的完善。本文分别从法律制度层面和司法实践方面论证完善专利实施许可合同的违约责任,还分析了专利实施许可合同应完备的必要条款。更多还原

【Abstract】 Patent licensing contract is a very important technology contract, the contract system in the existing civil law occupies an important position, which results in accelerating the transformation of technology and the pace of realization and to promote the development of productive forces and plays an active role. Patent licensing contract has own particularity and complexity, mainly in its breach of the main form, the liability to the principle of responsibility and the way for bearing the liability of breach, etc. How to deal with breach of contract disputes, in order to facilitate patent licensing dispute be ended and promote the advanced patented technology successful implementation, requires the liability for the breach of patent licensing contract for the further improvement of the system and entered into a patent licensing contract complete the necessary terms and so on.This article discusses the patent license based on the contract and its particularity, through the breach of patent licensing contract responsibility system of research, analysis liability for the breach of patent licensing contract system problems, improves the patent license of liability for the breach of contract system and the necessary provision of contract, in order to standardize patent license, maintain the normal order of patent markets, protect the legitimate rights and promote our country economic development. The full text altogether divides into four parts besides the introduction and the conclusion.The first part studies the basic theory of the patent licensing contract. First, this paper analyzes the obligations of the parties in the patent licensing contract; secondly, studies the legal characteristics of the patent licensing contract which is different from the general civil contract and the characteristics of the liability for the breach of patent licensing contract.The second part compares the liability for the breach of patent licensing contracts. First, this paper describes the main form of the breach of patent licensing contracts; secondly, it analysis the principle of attribution for the liability about the breach of patent licensing contracts; thirdly, it discusses the way for bearing the liability of the breach of patent licensing contracts; finally, it summarizes the relief matter for the liability of the breach of patent licensing contracts.The third part carries on the empirical analysis to liability for the breach of patent license contract. First analyzes the complications of effect the patented technology successful implementation, and then studies the shortcomings and problems about the liability of the breach of patent licensing contracts.From the reality of our patent system, and for promoting the implementation of patented technologies, the forth part try for improvement the liability of the breach of patent licensing contracts. From the aspects of the legal system, judicial practice and policy measures, this paper demonstrates improvement patent licensing liability for the breach of contract, but also analyzes the patent implementation permission contract should complete essential provision.更多还原
