【摘要】 从三十年国企改革历程来看,改革中出现和反映的核心问题就在于如何实现国有企业所有者、董事会和高级经理人等主体对国有企业权能的有效分享并相互制衡以达到国企治理结构的完善和现代企业制度的建立和良好运行。换句话说:国企的所有权权能应该如何安排才能实现国企所有者、董事会、高级经理人等主体权责利的统一。本文认为传统的以“两权分离”为目的的改革没能够使所有权权能如何安排问题得到很好的解决。具体看,就是公司的治理结构还存在缺陷,国资委、国资委委托的董事会或出资人代表、代理人等各个主体的权、责、利三方面还不统一。因此,本文提出以“国有企业权能分享”的概念来取代“两权分离”的提法,并从权能分享角度探讨国有企业改革和治理中所有权权能的安排问题。论文基本思路如下:在对基本理论的梳理和国有企业产权改革三十年的经验回顾基础上,分析和研究现阶段国有企业产权结构现状和治理缺陷,阐述国有企业权能分享的必要性,搭建了国有企业权能分享的基本框架,并以清江公司这样一个典型国企为例,总结权能分享的实践经验;最后对现阶段如何更好地实现国有企业权能分享作积极探索。第一部分为绪论,主要阐述了本文研究问题的提出,以及研究的目的、理论方法和研究的基本结构。第二部分为理论梳理和回顾,对权能分享所涉及的相关概念、理论进行了梳理和评价。第三部分主要是回顾改革开放三十年国有企业改革历程,并对国有企业产权改革进行评价。第四部分分析和研究国有企业现阶段产权结构现状和治理缺陷,阐明了国有企业权能分享的必要性,并结合清江公司的实践探索,提出国有企业权能分享的基本框架。第五部分主要是以清江公司这样一个典型国有企业为例,总结权能分享的实践经验。研究清江流域开发体制对国有企业权能分享探索方面的创新促进作用。第六部分首先阐明权能分享理论的构建与国有企业改革深化的关系,然后从国有资产管理体制、有利于权能分享的内外部治理结构以及股权多元化等方面对当前如何实现国有企业权能分享进行进一步的探索。

【Abstract】 Reform process of state-owned enterprises(SOE) in the past 30 years has reflected that the core problem of SOE reform is how to realize control&profit sharing and effective balances among the SOE owners, the board of directors and senior managers of state-owned enterprises so as to realize the perfect governance structure of the SOEs and the establishment of modern enterprise system and good operation. In other words, how should we realize the unification of duty、right、profit among owners, the board of directors, senior managers the of the state-owned enterprises through the arrangement of ownership. We believe that traditional "two rights separation" reform has failed to solve that problem perfectly. From specific views, the governance structure of a company still exists defects, and the duty-right-profit hasn’t match among the state-owned assets Supervision and Administration Commission, the board of directors or investor representatives entrusted by the Commission,and the agent. In this paper we innovatively use the concept of state-owned power sharing to replace "two rights separation", and using this view to analyze ownership arrangement in SOE’s reform and managementGeneral ideas are as follows:On the basis of reviewing relative theories and reform experience of SOE in the past 30 years, we analyze present property structure of SOE, expose its governance defects,then expounds the necessity of power sharing and set up the basic framework of state-owned power sharing. And with a typical example of Qingjiang company,we summarizes power sharing experience and make further research on how to better achieve power sharing of SOE.The first part is introduction, mainly discusses the problem studied in this paper, the purpose,method and basic structure of the research.The second part is review and evaluation on relevant concepts.The third part mainly reviews the reform process of SOE in 30years’reform and opening-up and the general situation of various stages,and evaluate the reform of state-owned property right.The forth part analyzes and studies the current situation of state-owned property right’s structure and its management defects, expounds the necessity of state-owned power sharing, and constructs the basic framework of state-owned power sharing.The fifth part takes a typical SOE-Qingjiang company as an example, and summarizes the experience of power sharing.Then we study on the stimulative effects of Qingjiang system to SOE’s power sharing.The sixth part firstly clarifies relationship between power sharing theory and deepening of SOE’s reform, and then makes further exploration on how to realize power sharing of SOE from aspects of state-owned assets management system, internal and external governance structure, diversified ownership and equity incentives.
