收费公路经营权流转研究

【摘要】 规模经济是收费公路产业发展到一定阶段的必然要求,而现行收费公路“一路一公司”的分散经营模式明显与这种要求相背离,需要利用市场机制促进公路交通领域资源流动,以实现收费公路的规模经营,提高收费公路的运营效率和整体通行能力。市场机制以产权关系为基础,收费公路规模化经营要求建立清晰的公路资产产权关系,但与此不相适应的是,我国收费公路产权关系理论研究的薄弱与滞后,公路产权基础理论与现行政策规定不足以指导我国公路产业资源配置的实践。鉴于此,本文对公路产业发展中涉及的最直接、最关键的产权内容——公路经营权及其流转进行研究,以进一步完善公路产权理论,促进收费公路产业的进一步发展。论文主要有三大部分构成:公路经营权、公路经营权流转、公路经营权流转的保障机制,研究内容环环相扣,形成统一的有机整体。第一部分是公路经营权概述,主要包括两章内容:(1)以公路资产产权关系为切入点,阐述公路经营权与所有权分离的原因,引出公路经营权问题;(2)在梳理相关研究的基础上,对收费公路经营权概念、内容进行界定,系统归纳总结收费公路经营权属性,详细研究了收费公路经营权的权能构成,为公路经营权流转研究奠定基础。第二部分是公路经营权流转,主要包括两章内容:(1)结合产权理论、现代经济理论等相关理论,阐述公路经营权流转的动力机制和外部条件,明确公路经营权流转应处理好的各种关系;(2)研究收费公路经营权的市场运作方式,即公路经营权的流转方式。第三部分是公路经营权流转的保障机制,针对当前收费公路经营权流转存在的各种障碍,分别从价格形成、契约设计、政府规制三个方面提出相应的保障机制:(1)论述公路收费权价格形成机制及评估方法存在的确定,并提出改进措施;(2)分析收费公路经营权流转合同的性质、主体、客体和主要内容,依据委托代理理论,分析收费还贷公路委托代理合同中的激励约束机制,依据不完全契约理论,对经营性公路流转合同进行设计;(3)针对公路经营权流转中存在的问题,构建政府监管框架,提出政府监管思路、监管内容及监管措施。论文研究最终目标是为实践服务,希望通过研究为公路经营权流转政策的制定提供理论依据,为公路经营权流转实践提供理论支撑,并指导公路经营权流转实践的顺利开展,促进公路产业持续健康发展。

【Abstract】 Scale economy is the inevitable requirement as the toll road industry develops to acertain stage,but“one company operates one toll road”.The decentralized managementmodel clearly deviates from the requirement of scale economy.In order to improve theeffectiveness of the scale operation and the overall capacity of toll roads,market mechanismsneed to be applied to promote the flow of resources in the toll road operating field.The scaleoperation of toll roads calls for the establishment of a relationship between ownership andexpressway assets which is the basis of market mechanism,but the weak and laggedtheoretical researches on the relationship between ownership and expressway assets and theexisting policy are insufficient to guide the practice of resources allocation in the expresswayindustry field.In view of this,the dissertation studies the management right of toll roads andits transfer,which is the most direct and critical content of property rights,to improve thetheory of property rights and promote the further development of the toll roads industry.The dissertation includes three parts:the management right of toll roads;the circulationof the management right of toll roads and the safeguard mechanism.The first part is an overview of road management rights,including the first two chapters.The first chapter has taken the road property right relations as the breakthrough point,expounded the reason of the management property rights separation and introduced the roadproperty right.Based on the predecessors’ related study on the right of management,thesecond chapter defines the concept and the content of the management right,sums up theattribute of the management right systematically and makes a detailed research on thecomposition of the toll road management right which lays the foundation for the research ofthe circulation of the management right of toll roads.The second part,including chapter 3 and chapter 4,studies the circulation of themanagement right of toll roads.Based on the concerning property right theory and modemtheories of economy,the third chapter has mainly discussed the market disposition of the roadresources,analyzed the dynamic mechanism and the external conditions of circulation of theroad management right,and made the relations which should be dealt with in the circulationof road management right clear.The fourth chapter has further studied the market operation way of the toll road management right,that is,the circulation way of road management right.Part three discusses the safeguard mechanism of the circulation of toll road managementright in chapter 5,chapter 6 and chapter 7.In view of the obstacles in the circulation of tollroad management right,price formation,contract designing and government regulation havebeen proposed to safeguard the circulation of road management right.The 5th chapter hasdiscussed the formation mechanism of toll rate,the assessment methods and put forward theimprovement measures accordingly.The 6th chapter has analyzed the nature,and the maincontents of the contract of the circulation of toll road operation rights.Based on theprincipal-agent theory,this dissertation has studied the incentive and restraint mechanisms ofprincipal-agent contract of tolling for repay roads.Based on the incomplete contract theory,this dissertation has designed the circulation contract of tolling for operation roads.The 7thchapter has analyzed the problems in the circulation of operation rights,constructed theregulation framework and put forward the idea of regulation,regulation content and theregulation measures.Serving for the practice is the ultimate goal of the dissertation.Hopefully,thedissertation will provide the theory basis of the circulation policies of road managementrights and the theoretical support for the practice of the circulation of road management rightsand guide it,and finally promote the healthy development of road industry.
