【摘要】 农民专业合作社是在农村家庭承包经营基础上,同类农产品的生产经营者或者同类农业生产经营服务的提供者、利用者,自愿联合、民主管理的互助性经济组织。2007年7月《中华人民共和国农民专业合作社法》的实施,使得长期以来制约农民专业合作社发展的法律地位和组织属性、利益分配与内部治理等一系列重大问题在一定程度上得到了澄清。目前,我国农民专业合作社正处于一个从不规范到规范、从松散型到紧密型、从服务型到实体型、从基层社到联合社的发展阶段。伴随着这一转变过程,农民专业合作社的治理问题逐渐凸显出来。随着外部发展条件的逐步改善,健全内部治理结构,完善治理机制将是促进农民专业合作社规范运行和持续发展的重要内容。社员在农民专业合作社中扮演着消费者、惠顾者、所有者和社员这四种不同性质的角色。与一般企业法人相比管理难度更大,合作社的经营宗旨具有社会公平与经济效率的双重性,这种双重性决定了合作社治理结构和治理机制的独特性。本文运用治理理论、委托——代理理论、博弈论等理论和方法,结合我国农业与农村经济的现实条件,对我国农民专业合作社的治理结构、治理机制等进行系统的理论探讨和系统分析,初步建构一个关于农民专业合作社的系统分析框架,提出适合我国农民专业合作社发展阶段与特点的治理结构框架,以及完善决策机制、激励机制和监督机制等治理机制的建议。在建构我国农民专业合作社治理结构时,应坚持“社员大会中心主义”,强化社员大会的最高权力机构地位,切实将重大事务的决策权集中到社员大会:要限制理事长的职权范围,强化理事会的作用,以保证合作社的民主管理与科学决策;在专业合作社中可引入独立理事制度,一方面帮助专业合作社解决一些专业性或仅靠农民无法解决的问题,另一方面可以维护普通社员,特别是中小社员的利益。在完善农民专业合作社治理机制方面,指出要构建“能人治社”与民主管理相协调的运行机制,“能人治社”与民主管理不能偏废;要通过制度的保障和民主意识的训练,增加普通社员参与决策的积极性,并由此提高决策的能力;提出在不忽视社会激励作用的前提下,重视对农民专业合作社管理者的报酬激励,赋予管理人员一定的剩余索取权;在强化内部治理结构的监督机制作用下,专业合作社内部应建立审计制度,发挥党组织的监督作用,在外部应强化政府的监督指导力度和社会审计监督。本论文由九章组成。第一章导论,介绍研究背景、研究的目的与意义,国内外研究现状,明确研究重点解决的问题、研究思路与研究方法。第二章我国农民专业合作社发展分析。在探讨什么是合作社的基础上,对农民专业合作社进行了界定。总结我国农民专业合作社的发展历程,分析我国农民专业合作社发展的现状与特点。第三章农民专业合作社治理的理论基础。包括治理、农民专业合作社治理有关概念的界定,农民专业合作社治理的起因、内涵、实质、目的和功能。介绍交易费用、所有权结构、委托代理理论等合作社治理的基本理论。第四章总结美国、加拿大、日本、德国等国农业合作社治理特征及最新发展趋势,讨论国外农业合作社治理对我国的启示。第五章分析农民专业合作社现行的治理结构和治理机制。第六章在辽宁等地农民专业合作社进行调查的基础上,揭示我国农民专业合作社治理中存在的问题,运用博弈论等方法剖析我国农民专业合作社治理失效的原因。第七章依据前述的理论分析与我国农民专业合作社治理的实际,提出优化农民专业合作社治理结构的建议,主要包括农民专业合作社组织结构的社员大会制度、理事会制度、监事会制度的完善。第八章探讨我国农民专业合作社治理机制完善的思路,包括对科学决策机制的设计、管理层激励机制与社员参与激励机制、监督机制设计,以及完善农民专业合作社治理外部环境的对策与建议。第九章对研究做出结论,提出可能的创新点,以及未来研究展望。更多还原

【Abstract】 Currently,farmers’ specialized cooperatives in our country are still at the transitional stage.There exist many problems in terms of governance structure and governance mechanism.With the gradual improvement of the external development environment,strengthening the internal governance structure and improving governance mechanism is the key to the standardized operation and sustainable development of farmers’ specialized cooperatives.The present research tries to make exploration and systematic analysis on its governance structure and governance mechanism,combining Chinese agriculture and the realistic condition of rural economy.Corporate governance theory,principal-agent theory and game theory are introduced to help lay a theoretical basis for this research.On this basis,a framework on governing structure which is suitable for Chinese conditions was established to improve its standardized development.Furthermore,the author puts forward some suggestions about the governance mechanism,including the improvement of the decision-making mechanism,incentive mechanism and supervision mechanism.Through research on this project,the author aims to familiarize people with the current situation of existing farmers’ specialized cooperatives,reveal the underlying reasons which prevent its development,seek approaches to improve governance mechanism and provide suggestions for the government to formulate corresponding policies.The whole dissertation consists of nine chapters.Chapter one introduces the background,objectives, approaches and methodologies of this research.Chapter two makes an analysis on the development of the fanners’ specialized cooperatives in our country.Chapter three paves the way for the research by reviewing corporate governance theory,principal-agent theory and game theory as theoretical basis.The achievements and latest development of cooperatives abroad are introduced in Chapter four.Chapter five makes a study on the governance structure and governance mechanism implemented in the existing farmers’ specialized cooperatives.On the basis of the field study on the local cooperatives of Liaoning province,chapter six explores the underlying reasons which prevent its development in our country.Suggestions about strengthening the governance structure and improving governance mechanism are put forward in chapter seven and eight.Chapter nine draws a conclusion from this research,describes its limitations and forecasts the future development.更多还原
